Item 5. Fees and Compensation General The Firm or its affiliates receive compensation from the Funds based on a percentage of assets under management (“Management Fee”) and performance- based compensation in the form of carried interest as described in Item 6 below. For a complete description of specific compensation arrangements, clients and investors should carefully review their Governing Documents. Generally, during the investment period, the Funds pay the Firm a quarterly Management Fee of 2.0% of aggregate commitments and thereafter, 2.0% of invested capital. Co-Investment opportunities through 3 Boomerang Capital LP Form ADV Part 2A the Co-Investment Vehicles do not pay management fees or performance-based compensation in the form of carried interest. Private Fund Fees and Expenses The Firm deducts such Management Fees from each Fund quarterly in advance. Once paid, the Management Fees will be non-refundable. The Firm may waive or modify the Management Fee payable with respect to any investor and has done so for the Principals, Firm’s employees, and certain third parties. 3 Boomerang Capital I GP LLC (the “General Partner”), an entity that is affiliated with the Firm, serves as the general partner to certain Funds. Item 7. Types of Clients Investors in the Funds are generally expected to be high net worth individuals and institutional investors that qualify as “accredited investors” (as defined in Rule 501 under the Securities Act of 1933, as amended). The minimum initial investment in the Funds will be determined by the Firm and set forth in the Funds’ Governing Documents. The Firm may waive such minimum under certain circumstances. |
