Item 5: Fees and Compensation

The fees that are applicable to the Fund are set forth in detail in the corresponding Offering
Documents. A brief summary of such fees is provided below.

Management Fee

A-Street is paid an investment management fee (“Management Fee”) per annum which is a
certain percentage multiplied by the aggregate capital commitments of the Fund as described
in the Offering Documents.

The Firm, in its sole discretion, may waive or modify the Management Fee for any Investor.

Other Types of Fees or Expenses

A-Street is authorized to incur and pay in the name, and on behalf, of the Funds all expenses
which they deem necessary or advisable.

The Firm is responsible for and shall pay, or cause to be paid, all of its own ordinary
administrative and overhead expenses, including, without limitation, all costs and expenses
related to rent, furniture, fixtures, equipment, office supplies, clerical expenses and all
salaries, bonuses and benefits paid to, or on behalf of, personnel of the Firm.

The General Partner is entitled to receive a carried interest of the profits generated by an
investment, after returning 100% of an Investors’ initial capital contribution. The General
Partner may allocate or distribute the carried interest among the Firm’s employees and
advisors at its discretion.

The Funds will bear all other expenses, which include, without limitation, the following
expenses incurred by or allocable to the Funds: (a) organizational and offering expenses; (b)
all costs and expenses incurred in the sourcing, development, investigation, purchase, holding,
monitoring, sale or exchange of investments (whether or not ultimately consummated)
including, but not limited to: (i) private placement fees; (ii) finder’s fees; (iii) interest on and
fees and expenses arising in connection with indebtedness (including guarantees or other
credit support); (iv) broken deal expenses; (v) legal, audit, appraisal, accounting, consulting,
advisory, or professional services fees and expenses relating to investments or proposed
investments; (vi) reasonable travel expenses relating to investments or proposed investments;
(vii) fees and expenses of third party valuations; (viii) fees and expenses of attending
conferences in connection with the evaluation of future portfolio investments or business
sector opportunities; and (ix) fees and expenses of obtaining research and other information
for the benefit of the Fund. The Fund shall also bear: (c) all taxes applicable to the Fund on
account of its operations and any other taxes, fees and other governmental charges levied
against the Fund; (d) fees incurred in connection with the maintenance of bank or custodian
accounts; (e) out-of-pocket regulatory compliance expenses incurred in connection with the
management of the Fund; (f) all out-of-pocket expenses of preparing and distributing reports
(including expenses associated with the preparation or distribution of the Fund’s financial
statements, tax returns and Schedule K-1s or any other reporting to the Investors); (g) all legal,
accounting, and audit fees relating to the Fund and its activities; and (h) all fees and expenses
relating to outsourced finance, reporting, administration, accounting, appraisal and valuation
services that are not normal operating expenses.

In general, each Investor will bear its proportionate share of the Fund’s expenses on a pro rata
basis with respect to the size of such Investor’s capital commitment.

To the extent that expenses to be borne by the Funds are paid by the Firm or its affiliates, the
Funds will reimburse the Firm or its affiliates for such expenses. We may waive any such
reimbursement with respect to any Fund expenses. Any waiver by us for reimbursement of
any Fund expenses shall not serve as a waiver of reimbursement for any future Fund expenses
to be paid by us or our affiliates.

Neither the Firm nor its employees will accept compensation, including sales charges or
service fees, from any person for the sale of securities or other investment products.

Item 7: Types of Clients

Our client are the Funds, as described in Item 4 above, and the Funds will generally open to
Investors that are family offices, high net-worth individuals, and other sophisticated investors.

With respect to the Funds, any initial and additional subscription minimums are disclosed in
the Offering Documents for each respective Fund.
