Item 5. Fees and Compensation

        Neither ACIA nor its affiliates receive any sales or placement commissions from the Client
Funds. Below is an overview of certain fees and expenses that are paid by the Client Funds, as
detailed in the applicable fund agreements.

       Agribusiness Fund

        During the first five years of its life, the Agribusiness Fund paid an annual management
fee to Agribusiness Manager (as designee of Agribusiness GP) equal to 2% of capital committed
by its limited partners. Thereafter, the fee was calculated as 2% of the aggregate cost of the
Agribusiness Fund’s investments less any investment written down by more than 90%. Such fee
is paid from capital commitments of its limited partners. The Agribusiness GP stopped accruing
the management fee in October 2024 and will not receive a management fee for any services
provided after that date.

        The Agribusiness Fund also reimbursed the Agribusiness GP for certain organizational
costs ($500,000 cap) and continues to reimburse the GP for certain specified operating expenses.

        Agribusiness GP is entitled to a carried interest allocation from the Agribusiness Fund (See

Item 7. Types of Clients

        Subject to the satisfaction of their investment objectives, ACIA has the authority to make
all investment decisions for the Solar Funds and has been vested with full responsibility for
managing them. Investments made by ETCF will be determined solely by ETCF Manager.
ETCF’s LPAC has the right to vote on certain major events but does not have the authority to
approve any investments. LIHTC Manager 1B cannot acquire an interest in any Local Limited
Partnership without obtaining the Investor Member’s prior consent by executing a separate CCCA
for each investment.

         The investors in the Agribusiness Fund are nine financial institutions, all of which are FCS
institutions, and Agribusiness GP. The investors in the Solar Funds are insurance companies,
banks, one publicly traded company and an AC affiliated entity. While additional investors may
be added with the prior written consent of all investors, which consent may be withheld in each
investor’s sole discretion, ACIA does not anticipate that any of the Solar Funds will be open to
new investors.

       ETCF has 13 institutional investors and ETCF GP. ETCF will not admit any additional
investors. The sole investor in LIHTC Fund 1B is a national bank. Neither ETCF nor LIHTC
Fund 1B are open to new investors.

        The Agribusiness Fund, Solar Funds, ETCF and LIHTC Fund 1B are considered as private
funds that qualify for the exclusion from the definition of investment company under Section
3(c)(1) of the Investment Company Act of 1940.
