ITEM 5 - FEES AND COMPENSATION We are compensated for our investment advisory services based upon a percentage of assets under management, up to a maximum fee of $1,000,000 per year per family, and also through a performance fee. We charge an annual fee of 1.00% on the account value as of the start of each quarter. Our fees are charged quarterly, in advance. Clients are invoiced for their advisory fees. Fees are not deducted by the advisor directly from client assets. In any partial calendar quarter, the management fee will be pro-rated based on the number of days that the Account was open during the quarter. Client understands that Account assets invested in shares of mutual funds or other investment companies (“funds”) will be included for the purpose of calculating the value of the Account for purposes of computing our fee and that the same assets will also be subject to other fees as set forth in the prospectus of those funds which will be paid by the funds but ultimately borne by the investor. Fees are separate and distinct from fees and expense charged by mutual funds, ETFs, or other securities, administrator fees, custodian fees, brokerage commissions, transaction fees, service provider fees, and other related costs and expenses which are incurred by the client. A description of mutual fund or ETF fees and expenses are available in each fund’s prospectus. To calculate advisory fees, we rely on prices from third-party pricing services provided by our custodian. Fees are assessed on all assets under management, including cash and marketable securities. In addition to this quarterly fee, we charge a performance-based fee of 15% of the account percentage change above the monthly average of the 10 Year Treasury Yield. This fee is calculated at year-end and is payable within 15 days of invoice. Either Agman Capital LLC or you may terminate your agreement, upon written notice to the other party. The fee will be pro-rated to the date of termination, for the month in which the cancellation notice was given, and prepaid fees will be refunded. Upon termination, you are responsible for monitoring the securities in your account, and we will have no further obligation to act or advise with respect to those assets. Client may terminate the Family Office Service Agreement within five (5) business days after entering into the Agreement without penalty. However, any expenses, losses, or charges properly chargeable to the Account, other than the Management Fees, shall be borne solely by the Account and Client. |
