Item 5 – Fees and Compensation
A. Fee Schedule
1. Management Fees
Clients will be charged an annual management fee based on the total assets under
management (“AUM”) within their account. This fee is computed as a percentage of AUM that
is calculated and charged monthly on a pro-rata basis.
The annual management fee is a flat fee of 45 basis points of a client’s AUM.
2. Performance-based Fees
All Blue Labs does not charge performance-based fees.
B. Payment of Fees
The Management Fee will be paid in advance on the first day of each fiscal quarter and can be
paid from the cash balance in the client’s account. Management fees, which are paid in
advance, are withdrawn at the beginning of the quarter.
All fee details will be clearly outlined in the Agreement. Clients are encouraged to review
these documents for an in-depth understanding of the fee structure.
C. Third-Party Fees
All Blue Labs’ fees are exclusive of brokerage commissions, transaction fees, and other related
costs and expenses which shall be incurred by the clients. Such charges, fees and commissions
are exclusive of and in addition to All Blue Labs’ management fee, and All Blue Labs shall not
receive any portion of these commissions, fees, and costs.

D. Prepayment of Fees
Management Fees are paid in advance, at the beginning of each quarter. The management
fee will be pro-rated for any partial quarters.
Clients should consult the Agreement for additional details.
E. Outside Compensation for the Sale of Securities
Neither All Blue Labs nor its supervised persons accept compensation for the sale of
securities or other investment products outside of their association with All Blue Labs.
The foregoing discussion in Items 5 represents All Blue Labs’ basic compensation
arrangements. The management fees and incentive allocations described above are
structured to comply with Rule 205-3 under the Advisers Act and applicable state laws.
Fees and other compensation are negotiable in certain circumstances and
arrangements with any particular Investor may vary. Although All Blue Labs believes
its fees are competitive, lower fees for comparable services may be available from
other investment advisers.

Item 7 – Types of Clients
All Blue Labs provides investment advice to many types of clients, including but not limited
to banks, corporations, non-governmental organizations, non-profit or not-for-profit
organizations, trusts, or family offices. Pension plans (including those covered under the
Employee Retirement Income Security Act of 1974, as amended are not eligible to invest with
All Blue Labs.
There are no account minimums or other requirements for opening or maintaining an
account.
