Item 5 – FEES AND COMPENSATION Fees may be negotiated depending on account size, mandate, and institutional client relationship. Minimum account sizes and/or minimum annual fee arrangements may apply, and these terms will be set forth in the Subadvisory Agreement. In some cases, fees may be billed directly to the institutional client, while in others they may be deducted from assets held at the designated custodian. Billing frequency may be monthly or quarterly, in advance or arrears, as agreed upon. Clients are responsible for all fund-level fees and trading costs in addition to Altium’s subadvisory fee. Fees and compensation will vary depending upon certain factors, including but not limited to, the type of service provided, strategy and the type of account or program. Generally, the highest fee Altium will charge is 2% per year on assets under management, depending upon the type of account, program, or negotiated fee with a Client. However, fees may vary in certain circumstances, including but not limited to grandfathered arrangements with existing Clients or other negotiated considerations. Fees will be paid monthly or quarterly in advance or quarterly in arrears and deducted from the Client’s assets by the Custodian of the Client’s account and paid to Altium. (See also Item 4 Advisory Business.) If a Client terminates mid-period, any prepaid but unearned fees will be promptly refunded. Altium may, from time to time, enter into, or reserve the right to enter into, revenue sharing arrangements or other compensation agreements with custodians, third-party managers, or product providers in connection with making certain investment products or platforms available to Clients. These arrangements may or may not currently exist and may include payments to Altium based on the total assets invested in or through such providers, transaction volume, or other factors. Such arrangements create a potential conflict of interest, as Altium may have an incentive to recommend or allocate assets to providers or products that make payments to the Firm. Altium addresses this conflict through its fiduciary duty to Clients, internal compliance policies, and ongoing monitoring to ensure investment decisions are made in the best interests of Clients, without regard to any additional compensation the Firm may receive. In addition to fees paid for sub-advisory services, Clients may be invested in a pooled investment vehicle sponsored or managed by Altium (the “Fund”). The Fund is structured to operate in a manner similar to a money market fund and may be used as a cash management vehicle for Client assets. Altium or its affiliates will receive management fees and/or other compensation from the Fund, which are separate from and in addition to any fees Clients pay to Altium for advisory services. This creates a conflict of interest, as Altium has an incentive to recommend the Fund due to the additional compensation received. Altium mitigates this conflict through its fiduciary duty to Clients, internal oversight, and by disclosing all such arrangements. |

Item 7 – TYPES OF CLIENTS Altium’s services are designed exclusively for institutional investors, including but not limited to registered investment advisers, broker-dealers, family offices, foundations, retirement plans, and other financial institutions. Altium does not provide investment advice or services directly to retail investors. Altium provides discretionary investment management service, particularly with respect to Structured Note investments and Defined Outcome Strategies, to institutional Clients as a Subadvisor. Altium does not impose a standard minimum account size. Account minimums, if any, are determined at the Firm's discretion based on the nature of the mandate, strategy complexity, and institutional client relationship, and will be set forth in the applicable Subadvisory Agreement. |
