ITEM 5: FEES AND COMPENSATION As collateral manager to Aristotle CLOs, APC receives a collateral management fee at an annual rate, as specified in the applicable collateral management agreement, calculated based on the collateral principal balance of the applicable Aristotle CLO, payable quarterly in arrears. APC may also receive an incentive fee from an Aristotle CLO, which, if applicable, is dependent upon achieving target returns for junior and/or equity noteholders. Details of such fees are described in the applicable Aristotle CLO offering memorandum. Collateral management fees and, if applicable, incentive fees are payable quarterly in arrears by the trustee of the Aristotle CLO. In addition to the collateral management fee and any applicable incentive fees, noteholders of the Aristotle CLOs may indirectly bear certain other fees and expenses, including investment-related expenses, trustee fees, legal expenses, costs and expenses associated with the issuance of the CLO’s securities, regulatory and filing fees, fees payable to service providers, and other similar expenses. Most fixed income instruments trade at a bid-ask spread without an explicit brokerage charge. As a result, although there may be no separately stated trading expense, APC managed Aristotle CLOs will bear the implicit trading costs reflected in such bid-ask spreads. See Item 12: Brokerage Practices below for more information about APC’s brokerage practices. Neither APC, nor any of its supervised persons, accept any sales-based compensation for investment advisory services. In addition, neither APC, nor its supervised persons, earn commissions for the sale of securities or other investment products. |

ITEM 7: TYPES OF CLIENTS As described above, APC provides investment management services primarily to Aristotle CLOs. APC also manages and invests in certain securities issued by its managed Aristotle CLOs, debt securities or obligations and syndicated leveraged loans on behalf of its limited partners, which may include state and municipal entities, corporations, foundations and endowments, insurance companies and other types of institutional investors. Eligibility and minimum investment amounts are generally set forth in the applicable governing or offering documents; in certain cases, however, the General Partner may reduce or waive the minimum investment amount in its sole discretion. |
