Item 5 - Fees and Compensation
Annualized Fees

Aspen is compensated for investment management based on clients’ assets under management. Fees can be
negotiable under the following circumstances:
• Combined Client household accounts of $5,000,000 or more
• Aspen employees and investment adviser representative employees and family accounts
• Nonprofit entities
• Non-Discretionary Defined Contribution Plans
• Clients can combine multiple household accounts to receive lower tiered fee schedule. A contract
addendum will document accounts to be aggregated.
Fees are charged quarterly in arrears and are due within thirty days of the last day of the previous calendar quarter.
They are based on the account’s market value of managed assets reported by the custodian as of the last business
day of the previous quarter. Fees are calculated per annualized fee schedule above broken down on a quarterly basis.
Fees are in arrears for accounts opened during the quarter. Because fees are charged in arrears, no refund policy is
necessary. For partial billing periods, the management fee will be prorated based on the number of days the account
was open during the billing period. Unmanaged or static client assets will not be included in the management fee
calculation.
The client will authorize the custodian holding client funds and securities to deduct Aspen advisory fees direct from
the client account in accordance with statements prepared and submitted to the custodian by Aspen. The custodian
provides a line item with the fee deducted on the quarterly account statements to the client. Such statements will
reflect all fee withdrawals by Aspen. Aspen will prepare invoices and or statements/reports itemizing the fee. The
itemization will include the formula used to calculate the fee, the amount of assets under management the fee is
based on, and the time period covered by the fee. It is the client’s responsibility to verify the accuracy of the fee
calculation. The custodian will not determine whether the fee is properly calculated. Aspen is responsible for the
accuracy of the calculation of investment advisory fee.
The account custodian may charge fees and commissions, which are in addition to and separate from the investment
advisory fee. Custodians may charge accounts for various transaction costs, and administration fees. In addition,
some mutual fund and exchange traded funds (ETF) assets deposited in the account may have been subject to
deferred sales charges and 12 (b)(1) fees and other annual expenses as described in each fund’s prospectus. Aspen
nor our IA Reps accept compensation or commissions for the sale of securities or other investment products.
Advisory clients should also note that fees for comparable services vary, and lower fees may be available from other
sources.
The client may terminate the Agreement without penalty within five business days of signature. After the fifth
business day following the signed date of this Agreement either party may terminate this agreement upon 30 days’
written notice. Upon termination, all assets will be held at the custodian, and it will be Client’s responsibility to
instruct the custodian as to the final disposition of assets, unless Client specifically notifies Aspen to liquidate or
take other action. As of the date of termination, Aspen will no longer be the advisor of record, and it will be Client’s
responsibility to monitor the timely disposition of the account and take all future actions regarding the management
of the account.
Fees for financial plans (Planning) and or consultations are charged at $125.00 per hour. Planning fees will not be
charged to managed account clients; thus, a conflict of interest exists between our interests and the advisory client.
Planning fees will be paid in arrears after services are completed. Planning fees are paid by check. Planning
services may be terminated at any time by either of the parties to the financial planning contract and Planning fees

will be charged for services incurred but unbilled prior to the notice of termination. Upon early contract
termination, Aspen will provide clients with any completed portions of the written financial plan for any fees earned
by Aspen. |
