Item 5 – Fees and Compensation

Berch is compensated primarily through fees charged at the private fund and SPV level. For
Berch-sponsored private funds, Berch receives a management fee generally ranging from 1.00%
to 2.00% (calculated on the fee base described in the applicable governing documents) and may
also receive performance-based compensation in the form of carried interest generally ranging
from 10.00% to 20.00% of net profits, subject to the terms and conditions set forth in the
applicable governing documents. Fee structures for SPVs may vary and are described in the
applicable SPV offering materials and governing documents.

In addition to the fees paid to Berch, investors in Berch-sponsored funds and SPVs bear their
proportionate share of fund-level fees and expenses. These expenses may include, among other
items, administration, legal, tax preparation and reporting, valuation, technology and platform-
related expenses, organizational and offering expenses, and other operational costs, as described
in the applicable offering documents. Fees and expenses reduce investment returns.

Certain Berch-sponsored vehicles may utilize unaffiliated third-party platforms, administrators,
and other service providers to support investment administration, reporting, and execution
workflows. These service providers may charge fees to the applicable fund or SPV (including
minimum fees prior to launch and asset-based fees after launch), as disclosed in the applicable
offering documents. Berch does not receive any portion of these platform or administration fees.

In addition, certain investments may involve fees charged by underlying investment products,
managers, or service providers. Such fees are separate from, and in addition to, the management
fee and carried interest received by Berch and are disclosed in the applicable offering materials.
In certain circumstances, Berch may also charge a separate advisory fee in connection with
advising on investments in third-party products or vehicles, as disclosed in the applicable
documentation.

Berch’s receipt of management fees and performance-based compensation creates conflicts of
interest, including an incentive to increase assets under management and to favor investments that
may generate higher returns. Berch seeks to address these conflicts through disclosure, oversight,
and adherence to its fiduciary obligations.

Item 7 – Types of Clients

Berch expects to provide investment advisory services primarily to pooled investment vehicles,
including private investment funds and SPVs. Berch may also provide advisory services to other
eligible clients, including high net worth individuals, family offices, and institutional investors, as
applicable.

Participation in Berch-sponsored private investment vehicles will generally be limited to
investors that meet applicable eligibility standards, such as “accredited investor” and/or “qualified
purchaser” requirements, as described in the applicable offering documents. Where performance-
based compensation is charged directly to a client, Berch will apply “qualified client” standards,
as applicable.
