ITEM 5 –      FEES AND COMPENSATION

BGM earns various fees tailored to each Client Fund, as detailed in the respective Client Fund’s
offering documents, typically comprising a Limited Liability Company (LLC) Agreement and a
Private Placement Memorandum (PPM). These fees are generally non-negotiable; however, BGM
retains the discretion, pursuant to the offering documents, to enter into side agreements (“side
letters”) with individual investors. Such side letters may modify terms or establish specific rights,
including reduced management fees, provisions for transferring interests in a Client Fund, tax and
structuring considerations, enhanced reporting obligations, or other informational rights.

BGM does not maintain a standard fee schedule as fees are customized to each Client Fund.
Depending on the Client Fund, fees can include (i) a management fee, (ii) an initial, one-time
administrative fee, either fixed or calculated as a tiered percentage of invested capital, to offset
organizational, structuring, and initial marketing expenses, (iii) a one-time participation fee based
on percentage of invested capital, (iv) a success fee paid to BGM upon distributions based on
invested capital, and (v) carried interest that is paid to BGM after investors receive a return of their
invested capital plus a specified preferred rate of return.

Operating Expenses

In addition to the above fees, each Client Fund bears certain expenses, which can include without
limitation, fees, costs, and expenses incurred in connection with the organization, startup,
investment activity, maintenance, and existence of each Client Fund. These expenses include but
are not limited to, costs and fees of legal counsel, consultants, bankers, accountants, data provider
services, administrators, advisors, and other outside professionals; fees associated with
underwriting activities, borrowing, which may be from an affiliated entity, brokerage and
custodian fees, taxes, tax audits, and governmental or regulatory charges; the cost of directors and
officers, professional and other similar insurance, costs associated with Client Fund meetings and
mailings, and expenses associates with the liquidation of a Client Fund.

A full description of the expenses paid by the Client Funds is outlined in each Client Fund’s
respective Offering Documents, which should be read fully by investors.

Other Information

BGM deducts the fees and expenses described above directly from each Client Fund’s assets.
These fees are charged to each investor’s capital account.

BGM, as investment manager of the Client Funds, has a conflict of interest caused by the
compensation arrangements the Firm has with the Client Funds. BGM is entitled to receive
substantial fees from each Client Fund’s investors under the terms of each Client Fund’s Offering
Documents, which creates an incentive for BGM and its affiliated entities to maximize the
compensation earned. These fees could influence the judgment of BGM when performing services
for the Client Funds. To address the conflict, BGM has written policies, procedures, and controls
in place, which cover the valuation process of the Client Funds.

ITEM 7 -      TYPES OF CLIENTS

As described in Item 4 – Advisory Business, BGM sponsors, acts as the Managing Member of, and provides
investment management services to the Client Funds. Each Client Fund establishes a minimum
investment amount for prospective investors, which BGM, in its capacity as the Managing
Member, may adjust at its sole discretion. Interests in a Client Fund are offered and sold
exclusively to investors who satisfy the eligibility criteria specific to the respective Client Fund, as
well as applicable regulatory requirements. The minimum investment thresholds and detailed
investor qualification standards are fully set forth in the offering documents of each Client Fund.
