Item 5: Fees & Compensation
Compensation for Our Advisory Services
For our investment advisory services, instead of transaction -based fees, you will typically pay
BAM an “asset based” fee at the beginning of each quarter. Asset -based fees are calculated as
a percentage of the assets (including cash) in your advisory account. The more assets you have
in your advisory account the more you will pay us in fees. We have an incentive to recommend
that you increase the assets in your account. You will pay fees and costs whether you make or
lose money on your investments.
A maximum annual fee will be charged for this service . Fees to be assessed will be outlined
in the advisory agreement to be signed by each client . Annualized fees are billed on a pro -rata
basis quarterly in advance based on the value of the account(s) on the last day of the previous

quarter . Fees are negotiable and will be deducted from client account(s). Adjustments will be
made for deposits and withdrawals during the quarter. Fees are negotiable.
For the sub -advisory services rendered to our clients, our Firm compensates third -party
investment advisory firms or individual advis ers a percentage of the overall investment advisory
fee charged by our Firm . The advisory fee paid shall not exceed the fee published for this service.
The terms and conditions under which the client shall engage the third -party investment
advisory firm or individual advis ers shall be set forth in a separate agreement between the client
and the designated third party.
SEC -registered Firms
a) The client’s independent custodian sends statements at least quarterly showing the
market values for each security included in the a ssets and all account disbursements,
including the amount of the advisory fees paid to our Firm ;
b) Clients will provide authorization permitting our Firm to be directly paid by these terms.
Our Firm will send an invoice directly to the custodian; and
c) If our Firm sends a copy of our invoice to the client, a legend urging the comparison of
information provided in our statement with those from the “Q ualified C ustodian ” will be
included.
Financial Planning & Consulting
Financial Planning S ervices typically are billed one time for the advisory service provided. Fees
for Consulting Services may be charged as an annual flat fee or asset -based fee in accordance
with the applicable Consulting Services Agreement. If the client receiving the service has a BAM
account, the fees will typically be deducted from the account when the advisory documents are
signed by the client and submitted to B AM . If a client does not have a B AM account, an invoice
will be submitted to the client .
Other Types of Fees & Expenses
The expenses applicable to each client will be set forth in detail in each client’s g overning
documents. S uch expense terms have not been finally determined. A description of the Firm ’s
advisory fees and expenses will be included in connection with an amendment to Form ADV
that will be submitted within 120 days following the date that B AM ’s registration as an
investment adviser is declared effective.
Termination & Refunds
Financial Planning clients may terminate their agreement at any time before the delivery of a
financial plan by providing written notice. For purposes of calculating refunds, all work
performed by us up to the point of termination shall be calculated at the hourly fee curren tly in

effect. Clients will receive a pro -rata refund of unearned fees based on the time and effort
expended by our Firm .
Commissionable Securities Sales
Our Firm and representatives do not sell securities for a commission in advisory accounts.

Item 7: Types of Clients & Account Requirements
Our Firm ’s clients will consist of individuals, including High Net Worth individuals. There will be
no required account minimum.
