Item 5: Fees and Compensation
The fees applicable to each Fund are set forth in detail in each Fund’s offering documents. A
brief summary of such fees is provided below.
Management Fee
Calvion is paid a management fee, payable during the month or at month-end, as
compensation for the services to be performed by the Investment Manager (the
“Management Fee”).
The Management Fee ranges from .5% to 2% annually. Calvion may waive the Management
Fee in full or in part.
Performance Allocation
With respect to each Interest, the Manager receives a special allocation (the “Performance
Allocation”) at the end of each Performance Period equal to the “Performance Percentage”
which means with respect to each class of interest an amount ranging from 10-20% annually.
Side Letters
Calvion may from time to time enter into agreements with certain investors that may provide
for terms of investment that are more favorable than the terms described in the relevant
offering documents. Such terms may include the waiver, reduction or rebate of management
fees, expenses and/or performance-based allocations, the provision of additional information
or reports or more favorable transfer rights or liquidity terms. No such agreement will
necessarily entitle any other Investor to the same terms of investment.
No supervised person of Calvion accepts compensation for the sale of securities or other
investment products, including interests in or shares of the Funds.

Our clients will be the Funds. Any initial and additional investment minimums are disclosed in
the offering memorandum for the relevant Fund.
