Item 5: Fees and Compensation CapShift Advisors does not receive compensation from investment managers in connection with the purchase or sale of their securities. The fees the Firm charges clients and the services the Firm offers are described below: Platform Subscription CapShift Advisors charges an annual subscription fee for access to its Impact Investing Platform. Platform, subscription fees range from $24,000 to $500,000 annually, depending on the tiers of service, client firm size, and level of customization. Platform fees are charged at the time of contract signing, monitoring fees are charged quarterly, and due diligence or other custom fees are charged upon delivery of materials. Fees will automatically be renewed upon the start of a new billing cycle. Clients may terminate the subscription at any time, with specified termination terms in each contract, and if the termination comes before the 6-month mark on the annual contract, fees will be pro-rated and refunded. Fees for additional custom services are negotiated based on the scope of services provided. Portfolio Advisory Services For both discretionary and non-discretionary accounts, fees are charged on total assets under management (AUM), often with a minimum quarterly fee. Fees may differ for liquid and private illiquid investments for certain clients. Fees range between 25bps and 125bps of AUM annually, not inclusive of fees charged by fund managers who may be part of client portfolios. Fees are charged quarterly in advance, but may be charged differently based on client request. If a client were to terminate before the end of the quarter fees would be calculated and a client would receive an appropriate refund. Additional custom consultative services may be provided to portfolio advisory clients for a separate consulting fee. Sub-Advisory Engagements Typically, sub-advisory clients are charged consistent with the Portfolio Advisory services listed above, however the Firm may choose to adopt the fee billing calculation and methodology of the underlying client’s adviser. As noted in Item 4, under “Sub-Advisory Engagements”, when serving as a sub-adviser, the Firm is compensated directly by the underlying client’s adviser. In certain situations, the Firm may pull fees directly from the underlying client’s account instead of being compensated by the underlying client’s adviser. |

Item 7: Types of Clients CapShift Advisors’ clients are primarily DAF providers, foundations, financial advisers, consultants, and family offices serving high-net-worth and ultra-high net worth investors, foundations, and affiliated entities. These investors are all accredited and nearly all are also Qualified Purchasers as defined in Rule 501 of Regulation D and Section 2(a)(51) of the Investment Company Act of 1940. On a limited basis CapShift Advisors may work with individual high-net worth investors to provide custom services as described in Item 5. |
