Item 5. Fees and Compensation Other Fees We may receive management, directors’, consulting and other similar fees and financing or other transaction fees in connection with the activities of the Funds (“Other Fees”). In addition, we may be reimbursed by the Funds’ portfolio companies for expenses we incur in connection with our performance of the services that give rise to Other Fees. These Other Fees may be payable to us by any Fund portfolio company. The Growth Fund will typically pay all costs and expenses relating to its operations, including, but not limited to: legal, auditing, consulting and accounting fees and expenses; expenses of meetings of its advisory committee and of its limited partners; preparation of Form PF, insurance, indemnification and other expenses associated with the acquisition, holding and disposition of proposed or actual portfolio investments; all extraordinary expenses, such as litigation; interest on and fees and expenses arising out of all permitted borrowings made by the Fund; all third-party expenses relating to unconsummated transactions; all expenses of liquidating the Fund; and any taxes, fees or other government charges levied against the Fund and expenses incurred in connection with any tax audit, investigation, settlement or review of the Fund. There is an annual cap on Fund expenses of $75,000 plus $25,000 multiplied by the number of portfolio companies. In addition, there is a cap on organizational expenses of $245,000. Supervised persons of the firm are also generally entitled to receive, typically through a direct or indirect ownership in the general partner of the applicable Fund, a performance allocation (“carried interest”) as described in greater detail in Item 6 below. Neither we nor any of our supervised persons accept compensation for the sale of securities, Fund interests or other investment products. Detailed disclosure fees applicable to the Funds can be found in the applicable offering and governing documents.
