ITEM 5: FEES AND COMPENSATION

  Management Fee

  Generally, we expect to charge our Clients a tiered management fee at an annual rate of 0.9%
  of the assets under management. The management fee percentage we expect to charge to a
  Client will decline as the Client’s assets under management with CCP IFSC LLP increase. In
  certain cases, we may charge a different management fee (primarily for private equity
  transactions), as agreed between us and the Client.

  For Managed Accounts, CCP IFSC LLP’s current expectation is that the management fee will
  be assessed on a periodic basis as agreed between the Client and CCP IFSC LLP in the IMA.
  For the CWC Fund, the management fee is charged monthly in arrears. In the event that CCP
  IFSC LLP does not provide investment advisory services for an entire period, the management
  fee payable for such period shall be adjusted and, if necessary, refunded, so that a Client only
  pays the pro rata portion of the management fee due for the part of the period during which
  CCP IFSC LLP provided services to such Client.

  Other than the management fee outlined above and the performance fees detailed in Item 6 of
  this Brochure, we do not receive any other compensation from Clients.

  CCP IFSC LLP does not expect fees to be negotiable.

  Expenses

  Custodial fees, brokerage commissions and other costs of executing and settling transactions
  undertaken on behalf of each Managed Account will be paid directly by the Managed Account.
  Invoices for such amounts will be forwarded to the Managed Account’s custodian who then
  arranges for payment of such fees. For further details on CCP IFSC LLP’s brokerage practice,
  please see Item 12 of this Brochure.

  For CWC Fund, custodian fees, trusteeship fees and other annual operating expenses such
  as (i) legal, accounting and audit fees, (ii) clearing, valuation, registrar or transfer agent fees,
  (iii) consulting fees, (iv) professional fees, (v) banking and registration fees, and (vi) local taxes
  and filings fees are charged at actuals on a monthly basis.

ITEM 7: TYPES OF CLIENTS

  Our Clients are expected to be United States-based university endowments, United States
  based pooled investment vehicles, Non-Resident Indians (NRIs), and non-Indian nationals,
  including, but not limited to, individuals, companies, body corporates, trusts, LLPs, LLCs,
  pension funds, investment vehicles, and other categories of investors. The client base will
  exclude Indian nationals and Indian body corporates. In selecting Clients, CCP IFSC LLP
  looks to work with Clients that share its investment philosophy and beliefs. As such, we are
  looking to align with a few large institutional investors that will commit quality capital to an

  account with CCP IFSC LLP.

  The minimum initial investment for investors in CWC Fund is USD 150,000 per IFSCA
  regulations. Presently, we do not otherwise have any minimum initial investment for our
  Clients.
