Item 5, Fees and Compensation

CPCM is compensated in two ways: (1) Management fees; and (2) Performance-based carried interest,
which is covered in Item 6, below.

A. Description of Fees. Management fees are generally calculated as a percentage of committed
   capital. In the case of a blind pool fund, annual management fees are typically calculated as 1.5% -
   2.5% of committed capital, charged for the lifetime of a fund. For example, if CPCM managed a
   $10,000,000 venture fund and charged a 2% annual management fee, CPCM would be paid
   $200,000 per year for each year of the fund’s life. In the case of CGCF, management fees are
   calculated in two separate ways: during the Initial Investment Period (described in the Fund’s
   Limited Partnership Agreement as the first four years of the Fund’s operation), management fees
   are calculated as 2% of committed capital; for the remaining operating period of the Fund,
   management fees are calculated to be 2% of all outstanding capital investments. In the case of

   CGCFII, management fees are calculated as 2% of the Management Fee base during the Initial
   Investment Period, as defined in the Fund’s Limited Partnership Agreement, and as 2% of cost basis
   of Fund Portfolio Securities in Active Portfolio Companies thereafter specific details regarding the
   management fees paid by CPCM’s blind pool fund clients (HNVF, CGCF, and CGCF II) to its Advisor,
   CPCM, are provided in the Investment Advisory Agreement or Management Services Agreement and
   Limited Partnership Agreement and are also summarized in the Table of Fees below.

   In the case of a SPE, CPCM might be paid a flat management fee calculated as part of an SPE’s initial
   capital raise, or as a percentage of the client company’s EBITDA. Alternatively, CPCM might charge a
   fee calculated as a percentage of the SPE’s annual average invested capital. Also, the SPE might
   collect funds in excess of its investment capital to cover current and future operational expenses
   (including professional service fees such as accounting and legal fees) of the SPE, as well as reserving
   funds for the payment of management fees to CPCM. CPCM maintains the right to make additional
   capital calls from certain SPE clients, in its discretion to pay for additional operational expenses. A
   description of how and when management fees are paid to CPCM are covered in the Management
   Services Agreement, which governs the activities of the particular SPE and its relationship to its
   Manager.

   The table on the next page is a fee schedule for CPCM’s clients.

CPCM does not manage accounts for individual retail investors. All clients are private pooled investment
vehicles. Minimum limited partner capital commitment thresholds, if any, are set forth in each fund's
Limited Partnership Agreement or Subscription Agreement and vary by fund. Prospective investors
should review those documents carefully prior to investing. CPCM does not impose a firm-wide
minimum account size beyond the requirements established in each fund's governing documents.

As of December 31, 2025, CPCM has approximately $119.9 million in total Assets Under Management.
CPCM does not have any retail or any other sort of brokerage account.
