Item 5 – Fees and Compensation
A Our Fees Generally. A description of the fees we charge for advisory services is set forth in this Item 5.
While we generally strive to ensure the equal treatment of all clients with respect to fees, we may negotiate
fees with individual clients based on factors such as complexity, the client’s unique financial needs and
income level, relationships with other clients or employees of our firm, our expectation of future assets
under management, and any other factors we deem relevant. In addition, certain existing clients of our firm
pay advisory fees which are materially different than those described in this brochure based on legacy
advisory arrangements no longer offered to new clients.
Fees for Portfolio Management Services. When you engage Compass for portfolio management services,
you will pay us an annual fee which is calculated as a percentage of the market value of your account in
accordance with the below fee schedule. This fee schedule reflects the highest fee rates we charge for those
clients engaging us for the full suite of services (e.g., ongoing portfolio management combined with
financial planning).

When applying our fees, we may elect, in our sole discretion, to combine the value of all of your related
accounts (including any accounts held individually or jointly by you, your spouse, your minor children, or
your business, including retirement accounts) for purposes of determining the applicable annual fee
percentage. These “household” account values would be combined and assessed at the same fee rate under
the applicable fee schedule. We will advise you in writing of the accounts we deem to be part of your
household for billing purposes.
Our annual advisory fee is pro-rated and paid to us on a quarterly basis in advance (i.e., 1/4 of the annual
fee percentage is due at the beginning of each quarterly billing period.) The fee will be equal to the agreed
upon annual rate, times the market value of the account. The market value will be construed to equal the sum
of the values of all assets in the client’s account, not adjusted by any margin debt. We will not bill on the
value of any held-away assets, unless we otherwise agree with you in writing, or dormant cash balances.
Fees for our services are pro-rated for partial billing periods (based on the number of days services are
provided) and adjusted for mid-period deposits and withdrawals to or from your account (based on the
date of deposit or withdrawal), but only to the extent that such mid-period additions or withdrawals result
in a net change in the advisory fee of $50 or more. Our advisory fees will be deducted directly from your
account at the Custodian. We do not offer traditional invoicing of these fees.
We will typically rely upon the market value of your account as determined by the independent qualified
Custodian of your assets for purposes of our fee calculations. The Custodian may use various pricing
services such as Reuters and Standard & Poor’s to price securities held in your account. For actively traded
securities, these services use the actual last reported sale price. For less actively traded securities such as
bonds, these services will use the appropriate valuation methodology to determine the value of the security.
You should contact us with any questions or concerns about the manner in which the Custodian has priced
any investments held in your account.
Clients may make additions or withdrawals from their account at any time; however, clients should note
that some or all of the investments in their account may be intended as long-term investments and
withdrawals of cash and premature liquidations of securities positions may impair the achievement of your
investment objectives.
Our Fees for Financial Planning and Consulting Services. When you engage us for financial planning
services in conjunction with ongoing portfolio management services the asset-based fee described above
covers the costs of our financial planning advice.
Clients who engage us for stand-alone financial services will pay us either an hourly fee of $250 per hour
or a negotiable fixed fee which varies based on Compass’s determination of the scope of your planning
needs and the time and resources involved in completing our services.
Hourly fees are billed to clients in arrears by delivery of a traditional invoice. Fixed fees are paid by
traditional invoice pursuant to a mutually agreed payment schedule that will be set forth in a written
financial planning agreement entered with the client. In some instances, clients will be required to pay up
to 100% of the agreed upon fixed fee in advance. All financial planning fees are payable to Compass by check,
money order, or other form of payment deemed acceptable by Compass within ten (10) days of invoicing.
Special arrangements may be made with clients seeking to receive ongoing financial planning services.

Item 7 – Types of Clients We typically provide investment advice to individuals and high net worth individuals. Because each client is unique, they must be willing to be involved in the planning and ongoing processes of our management of their assets. Such involvement does not have to be time consuming, however we want our clients to remain informed and have a sense of security about their investments. Compass typically requires clients to possess a minimum account size of $500,000 to open a portfolio management relationship. We may waive this account size minimum in our sole discretion for individual clients. |
