For investment advisory services offered by Covington Investment Management, LLC, the Firm
collects fees as:

Item 7- Types of Clients
The Firm provides investment advice solely to the Fund, which is a pooled investment vehicle.
Limited Partners in the Fund are required to commit to invest a minimum of $250,000 in the
Fund. This account minimum may be negotiable under certain circumstances. Covington
Investment Management, LLC may group certain related client accounts for the purposes of
achieving the minimum account size and determining the annualized fee.
The Fund only accepts “accredited investors” as Limited Partners as the term is defined by the
Securities Act of 1933. Investors who could be charged performance based fees must be
"qualified clients" as defined by the Investment Advisers Act of 1940.
