Item 5: Fees and Compensation
CIAL’s management fees are generally based as a percentage of assets under management and are
subject to negotiation. As of December 31, 2021, CIAL’s fees consist of a flat fee with its sole client not
associated with AUM given the potential for significant fluctuation. These fees are not deducted from
the client’s investment accounts. CIAL’s client can terminate its investment advisory agreement by
written notice to CIAL at least 30 days in advance of the date of termination.
As CIAL expands its client base, it expects to establish a fee structure ranging from 0.5% ‐ 1.5% subject
to minimum account balances of $5MM. These fees would be exclusive of any brokerage commissions,
transaction fees, and other costs incurred by the client.
Neither CIAL, nor its supervised persons, accept any compensation for the sale of investment products,
including asset‐based sales charges or service fees from the sale of mutual funds.

CIAL provides portfolio management services to one single family office/ultra‐high net worth family
based in New York. Over time, CIAL will provide these services to other high net worth and institutional
clients.
