Item 5.     Fees and Compensation

The Firm’s fees and compensation are described in each client’s Governing Documents. All of the Firm’s
clients are expected to be “qualified purchasers” (as defined in Section 2(a)(51) of the Investment
Company Act of 1940, as amended).

The Fund pays the Firm a quarterly management fee. The Firm deducts such management fees from the
Fund quarterly in advance. Once paid, the management fees are non-refundable. The Firm may waive or
modify the management fee payable with respect to any investor and has done so for the Managing
Partner.

The DJA GP will be entitled to receive performance-based allocations from the Fund, as further described
in Item 6 – Performance-Based Fees and Side-By-Side Management.

The Fund bears all of its expenses, including organizational expenses, initial and ongoing offering expenses
(including, without limitation, the expenses of negotiations with investors and reasonable travel and
accommodation expenses of members and employees of the Firm incurred in marketing the Fund, filing
fees and expenses), operating expenses and other expenses. The Fund bears all administration costs and
expenses, including fees of the Fund’s administrator; brokerage and clearing commissions and services
and similar expenses necessary for the Fund to receive, buy, sell, exchange, trade and otherwise deal in
and with securities and other property of the Fund; trade support services including, but not limited to,
pre- and post-trade support software and related support services; research (including computer,
newswire, quotation services, publications, periodicals, subscriptions, database services and data
processing that are directly related to research activities on behalf of the Fund) and consulting (including

relating to calls and conferences with expert networks), advisory, investment banking, finders and other
professional fees relating to investments or contemplated investments; interest expenses (including
interest on margin) and interest cost; the cost of borrowings, guarantees and other financing (including
interest, fees and related legal expenses); custodian and transfer agency services (including the costs, fees
and expenses associated with the opening, maintaining and closing of bank accounts, custodial accounts
and accounts with brokers on behalf of the Fund (including customary fees and charges applicable to
transactions with such broker accounts)); legal, accounting, auditing and tax preparation fees and
expenses; expenses incurred in connection with the Fund’s operations and trading activities, including
travel; taxes and similar charges (including penalties), unless such taxes and similar charges (including
penalties) are specifically allocable to one or more investors and expenses incurred in connection with
any tax audit, investigation, settlement or review of the Fund; expenses relating to the organization of
the Fund and the offering of interests in the Fund, including without limitation, the cost of updating the
Fund’s documents, the negotiation of letter agreements and any related costs and legal and regulatory
expenses associated with such offering (e.g., “blue sky” filings); fees, costs and expenses related to the
organization and maintenance of entities established for the Fund’s investments, including holding
entities, aggregating entities and other subsidiaries; entity-level taxes (including the New York City
unincorporated business tax) not specifically allocable to an investor; costs relating to communications
with Limited Partners pursuant to the Partnership Agreement (including printing, mailing, investor web
portal and other costs of information dissemination); attendance at industry conferences and similar
networking events; expenses related to the maintenance of the Fund’s registered office and corporate
licensing; legal fees and related expenses, including legal costs and expenses of indemnified parties (such
as indemnification and advances on account of indemnification) that may be payable by the Fund
pursuant to the indemnification obligations under the Governing Documents or any threatened or actual
litigation involving the Fund, which may include monetary damages, fees, fines and other sanctions,
whether as a result of such regulatory authorities or such commercial interests prevailing, or DJA GP
determining to settle such threatened or actual litigation; legal and compliance third-party fees and
expenses including, without limitation, filing and registration fees and expenses associated with
regulatory filings, audits and inquiries with state securities authorities, the SEC and the U.S. CFTC and all
other expenses associated with the Fund’s compliance with applicable laws and regulations; the cost of
any insurance premiums (including, without limitation, premiums for liability insurance to protect the
Fund, DJA GP and the indemnified parties as described in the Governing Documents); extraordinary
expenses and wind-up, liquidation and other similar expenses; expenses that the Firm reasonably
determines to be related to the investment of the Fund’s assets, such as brokerage commissions, expenses
relating to short sales, clearing and settlement charges, custodial fees, bank service fees, interest
expenses and expenses related to a proposed investment that was not consummated; expenses related
to the operation of alternative investment vehicles, parallel funds, and feeder funds, the costs and
expenses (including travel-related expenses) of holding meetings or conferences with the Fund’s
investors, whether individual or in a group; the costs and expenses associated with the preparation of the
Fund’s financial statements and the Fund’s reports to investors; and any other reasonable expenses
related to the activities of the Fund as shall be determined by the DJA GP in its sole discretion.

Item 7.        Types of Clients

Investors in the Fund are generally high net worth individuals and institutional investors that qualify as
“accredited investors” (as defined in Rule 501 under the Securities Act of 1933, as amended) and qualified
purchasers. The minimum initial investment in the Fund is $1,000,000. The Firm may waive such minimum
under certain circumstances.
