Item 5 Fees and Compensation dub Advisors users pay fees to the Firm based on the Premium Portfolio(s) to which they subscribe or that they Copy on the dub App. The Firm offers Premium Portfolios that are either created and managed internally by dub Advisors or made available through the Firm’s Creator Program. Premium Portfolios are offered under one of two pricing models: (i) a flat subscription-based pricing model (a “Premium Subscription Fee”), or (ii) an asset-based advisory fee model (an “Asset-Based Advisory Fee”). The fee model applicable to a particular Premium Portfolio is disclosed to the dub Advisor User in the dub App prior to subscribing to or Copying that Premium Portfolio. A given Premium Portfolio may, at the Firm’s discretion, be offered under only one fee model or, in the case of legacy or transitioning Premium Creators, under both fee models to different dub Advisor Users at the same time. For Premium Portfolios created and managed internally by dub Advisors, dub Advisors users pay a flat subscription fee for access to the applicable internally managed model strategy made available through the platform. Subscription fees generally range from $25 to $500 per subscription period and may be billed quarterly or annually in advance, depending on the dub Advisors user’s selected billing option. The specific subscription fee applicable to a given strategy is disclosed to dub Advisors users at the time the strategy is made available and prior to a dub Advisors user subscribing to that strategy. In addition to internally managed Premium Portfolios, the Firm offers Premium Portfolios through its Creator Program. These portfolios are model strategies associated with third-party creators whose strategies have been selected by the Firm for implementation and management on the platform. For Premium Portfolios offered through the Creator Program, dub Advisors users pay a flat subscription fee for access to a specific creator’s model strategy. Subscription fees generally range from $25 to $500 per subscription period and may be billed quarterly or annually in advance, depending on the dub Advisors user’s selected billing option. Each premium creator requires a separate subscription, and dub Advisors users may subscribe to one or more premium creators at the same time. Premium Subscription Fees are charged solely for access to the applicable model strategy and are not based on the amount of assets invested or allocated by the dub Advisors user. Where a Premium Portfolio is offered under the Premium Subscription Fee model, the Firm does not charge an Asset-Based Advisory Fee on assets allocated to that Premium Portfolio. Asset-Based Advisory Fees applicable to other Premium Portfolios are described in the “Asset-Based Advisory Fee” subsection below. Asset-Based Advisory Fee For Premium Portfolios offered under the Asset-Based Advisory Fee model, the dub Advisor User pays the Firm an annual fee, expressed as a percentage of the assets allocated within the dub Advisor User’s Brokerage Account to the applicable Premium Portfolio, in consideration of the Firm’s discretionary portfolio management services with respect to that Premium Portfolio. The specific annual Asset-Based Advisory Fee rate applicable to a given Premium Portfolio is disclosed to the dub Advisor User in the dub App prior to the dub Advisor User subscribing to or Copying that Premium Portfolio, and generally ranges from 0% to 2.50% per annum. The applicable rate may differ by Premium Portfolio and may be set, in part, by reference to fees payable to the associated Premium Creator under a separate licensing or revenue-sharing arrangement between such Premium Creator and the Firm or its affiliates. Calculation. The Asset-Based Advisory Fee for each billing period is calculated by multiplying (i) the applicable annual fee rate disclosed for the Premium Portfolio, by (ii) the average daily net asset value of the assets allocated within the dub Advisor User’s Brokerage Account to that Premium Portfolio during the billing period (the “Average Daily NAV”), and then multiplying that product by (iii) a fraction, the numerator of which is the number of calendar days during the billing period that the Premium Portfolio was Copied in the dub Advisor User’s Brokerage Account and the denominator of which is 365 (or 366 in a leap year). Average Daily NAV is determined based on end-of-day account values reported by the Third-Party Broker for the assets allocated to the applicable Premium Portfolio. Billing in Arrears; Proration. Asset-Based Advisory Fees are billed quarterly in arrears, promptly following the end of each calendar quarter. Fees are prorated based on the number of days during the billing period that the applicable Premium Portfolio was Copied in the dub Advisor User’s Brokerage Account, including for any initial period, partial period resulting from termination, intra-quarter additions or withdrawals of assets, or changes in the Premium Portfolios the dub Advisor User Copies. The Firm will not bill or collect an Asset-Based Advisory Fee for any billing period in which the aggregate Asset-Based Advisory Fee calculated for a dub Advisor User’s Brokerage Account is one dollar (US$1.00) or less; any such uncollected amount is waived and is not carried forward. Direct Deduction from Brokerage Account; Authority to Liquidate. Asset-Based Advisory Fees are deducted directly from the dub Advisor User’s Brokerage Account at the Third-Party Broker. By executing the Client Advisory Agreement, dub Advisor Users authorize the Firm to instruct the Third-Party Broker to deduct Asset-Based Advisory Fees from their Brokerage Account and authorize the Third-Party Broker to debit the Brokerage Account in the amount of such fees and remit those amounts to the Firm. Item 7 Types of Clients The Firm’s clients consist of individuals, including High Net worth individuals. The Firm does not require a minimum account size for opening or maintaining a dub Advisor User account, however DASTA Incorporated does impose a $200 minimum initial deposit and may impose higher portfolio specific minimums. For Premium Portfolios offered under the Asset-Based Advisory Fee model described in Item 5, the Firm may require a minimum allocation per Premium Portfolio, which the Firm may waive, increase, decrease, or otherwise modify in its sole discretion. Individuals may become dub Advisor clients by applying to open an account through the dub App. All required documents and disclosure are executed and presented in the dub App. |
