Item 5: Fees and Compensation

A. Fee Schedule

All fees are based on total value under management per family. Fees are prorated for each
individual in the family based on the percentage of the individual account to the total
family value under management. The adviser may substitute a different fee schedule
upon thirty days written notice to the client. The client must approve any substitution of
fee schedule in writing.
The quarterly fees are 25% of the annual fee, calculated based on the account balance on
the last day of each quarter. Billing dates shall be the first of January, April, July and
October, payable in advance. We urge the client to review the fees listed in their account
statement provided by the custodian. For new clients, the beginning balance determines
the applicable fee. These fees are generally non-negotiable, but may be changed by mutual
written agreement, and the final fee schedule is attached as Exhibit II of the Investment
Advisory Contract. Fees are paid quarterly in advance, and clients may terminate their
contracts with thirty days’ written notice. Refunds are given on a prorated basis, based on
the number of days remaining in a quarter at the point of termination. Clients may
terminate their contracts without penalty, for full refund, within 5 business days of
signing the advisory contract. Afterwards, the adviser requires 30 days’ written notice for
termination and, upon termination of the agreement, the client receives a final fee
accounting on a pro- rated basis to the date thirty (30) days after the notice of termination
is received by the adviser. Within thirty (30) days of termination any unearned fee credit
will be returned to the client. Advisory fees are withdrawn directly from the client’s
accounts with client written authorization.
The minimum fee for investment supervisory services is $600 per year for TIAA CREF
Plans. There is no minimum for Investment Portfolios.

Fees may be paid directly by the client or fees may be deducted from the client’s account
and sent to the adviser by the custodian holding the client’s funds. In TIAA fees may only
be withheld from IRA’s, not from Retirement accounts.
Fees deducted from the client’s account are sent to the adviser by the custodian holding
the client’s funds and securities. Automatic payment of client fees from the account means
the adviser is deemed to have custody of client’s funds unless the following is complied
with:
1. The client provides written authorization permitting the fees to be paid directly from
   the client’s account held by the independent custodian.
2. The custodian agrees to send a statement directly to the client at least quarterly,
   indicating all amounts disbursed from the account including the amount of advisory
   fees paid to the adviser.
DW does not and will not have custody of a client’s funds or securities, other than the fact
that it is “DEEMED” to have custody as stated above.
Financial Planning Fees
Hourly Fees
Depending upon the complexity of the situation and the needs of the client, the hourly fee
for these services is $200. The fees are generally non-negotiable, but may be changed by
mutual written agreement, and the final fee schedule will be attached as Exhibit II of the
Financial Planning Agreement. Fees are paid in arrears upon completion. Because fees
are charged in arrears, no refund is necessary. Clients may terminate their contracts
without penalty within five business days of signing the advisory contract.

B. Payment of Fees
Payment of Investment Supervisory Fees
Advisory fees may be withdrawn directly from the client’s accounts with client written
authorization. Fees are paid quarterly in advance.
Advisory fees may also be invoiced and billed directly to the client with payments due
quarterly. Clients may select the method in which they are billed.
Payment of Financial Planning Fees
Hourly Financial Planning fees are paid via check in arrears upon completion. Because
fees are charged in arrears, no refund is necessary.

C. Clients Are Responsible For Third Party Fees
Clients are responsible for the payment of all third-party fees (i.e. custodian fees, mutual
fund fees, transaction fees, etc.). Those fees are separate and distinct from the fees and
expenses charged by DWIS.            Please see Item 12 of this brochure regarding
broker/custodian.

D. Prepayment of Fees
DWIS collects investment supervisory fees in advance; hourly planning fees are paid in
arrears. Fees that are collected in advance will be refunded based on the prorated amount
of work completed at the point of termination and the total days during the billing period.
Fees will be returned within fourteen days to the client via check.

   E. Outside Compensation For the Sale of Securities to Clients
   Neither DWIS nor its supervised persons accept any compensation for the sale of
   securities or other investment products, including asset-based sales charges or services

   DWIS generally provides investment advice and/or management supervisory services to
   the following types of clients:

   Minimum Account Size
   The minimum balance of assets under management in TIAA CREF is $30,000. There is no
   minimum account size for accounts held at Altruist Financial LLC.
