Item 5 – Fees and Compensation
A client’s fee is set forth in each client’s written agreement with Financial Justus LLC. Fees may be reduced or waived in certain
circumstances and are negotiable in Financial Justus LLC’s sole discretion based on such factors as the complexity of the client’s
situation, the composition of the client’s account, and the relationship of the client with Financial Justus LLC. Some clients may be
under a different fee schedule because their relationships were established under a prior fee schedule.

As further described below, Financial Justus LLC charges an annual fixed fee for its financial planning and tax preparation services,
and an additional fee for its ongoing investment management services based on the assets under the Firm’s management.

Wealth Management Services Engagement Fee
Financial Justus LLC ’s wealth management services fee is comprised of a flat annual fee for the financial planning services being
provided (this portion of the fee includes the Firm’s tax preparation services) and a fee based on the amount of assets under
Financial Justus’ management.

The financial planning fee is a fixed annual fee of $5,000. For the Firm’s investment management services, Financial Justus LLC
charges an annual fee of .50% of the assets under management on accounts up to $5,000,000. For accounts ranging from
$5,000,000 to $10,000,000, Financial Justus LLC caps its fee at an annual fixed fee of $30,000 regardless of account size in that
range. For accounts over $10,000,000 the Firm’s advisory fee is negotiable. Financial Justus LLC will aggregate the accounts of a
client for purposes of determining the fee.

Fee Billing
Financial Justus LLC bills fees quarterly, in arrears. On the first day of a calendar quarter, advisory fees are calculated for the
prior quarter. A pro-rata quarterly portion of the annual financial planning fee is added to the fee calculated on the amount
of assets under Financial Justus LLC ’s management using the value of the account as of the last day of the previous calendar
quarter.

Fees may be paid by deduction from the Client’s brokerage account or paid directly to the Firm via check or an approved third-
party vendor. Clients provide written authorization permitting Financial Justus LLC to be paid directly from their accounts held
at their custodian as part of a wealth management services agreement and separate account forms provided by the
Custodian. Fees will be automatically deducted from the client’s account by the Custodian in these circumstances. Each time
the advisory fee is to be deducted, Financial Justus LLC will send a notice to the account’s custodian indicating the amount
of the fee to be deducted from the account. When Financial Justus LLC does not have direct access to a client’s account to
deduct its fee from, or if it is in the client’s best interest, or at the client’s direction, advisory fees can be paid directly to
Financial Justus LLC via a check or through an approved third-party vendor.

Per regulatory requirements, Financial Justus LLC will not collect advance fees of $1,200 or more for services that will be
performed six (6) months or more in advance.

Other Fees and Expenses
Clients may incur certain fees or charges imposed by third parties, other than Financial Justus LLC, in connection with
investments made on behalf of the Client’s account[s]. The Client is responsible for all custodial and securities execution
fees charged by the custodian and executing broker-dealer. The management fee charged by Financial Justus LLC is separate
and distinct from these custodian and execution fees.

In addition, all fees paid to Financial Justus LLC for advisory services are separate and distinct from the expenses charged by
mutual funds and exchange-traded funds to their shareholders, if applicable. These fees and expenses are described in each

fund’s prospectus. These fees and expenses will generally be used to pay management fees for the funds, other fund expenses,
account administration (e.g., custody, brokerage and account reporting), and a possible distribution fee. A Client could invest
in these products directly, without the services of Financial Justus LLC, but would not receive the services provided by
Financial Justus LLC which are designed, among other things, to assist the Client in determining which products or services
are most appropriate for each Client’s financial situation and objectives.

Accordingly, the Client should review both the fees charged by the fund[s] and the fees charged by Financial Justus LLC to fully
understand the total fees to be paid.

Termination
Clients may request to terminate their agreement with Financial Justus LLC in whole or in part, by providing advance written
notice. The Client shall be responsible for fees up to and including the effective date of termination.

If the Client has not received Financial Justus LLC’s Brochure at least 48 hours prior to entering into an advisory agreement,
the Client has the right to terminate the agreement without penalty or fee within five business days after entering into the
contract.

Compensation for Sales of Securities
Financial Justus LLC does not buy or sell securities and does not receive any compensation for securities transactions in any
Client account, other than the Advisory Fees noted above.
