Item 5 – Fees and Compensation GLC Gaming CV I LLC We are compensated with a Management Fee pursuant to the terms of the Amended and Restated Limited Liability Company Agreement (“Operating Agreement”). This Management Fee is 1% per annum of each Member’s Capital Commitment to the Fund as defined in the Operating Agreement. The Management Fee is payable quarterly in advance and any payment for a period of less than a full calendar quarter shall be adjusted on a pro rata basis according to the actual number of days during the applicable period pro-rated. We do not have any conflicts of interest present that relate to any additional compensation. GLC Trident Gaming SPV, LLC Pursuant to the terms of the Amended and Restated Limited Liability Company Agreement (“Operating Agreement”), no Management Fee is charged. |
