Item 5 — Fees and Compensation

Management Fees

The Firm charges management fees based on assets under management or as negotiated with each client.
Fee arrangements are set forth in each client's investment advisory agreement or the applicable fund's
offering documents and operating agreement. Clients should refer to those documents for specific fee terms.

Additional Fees and Expenses

Clients may incur additional costs including custodial fees, brokerage commissions, fund-level expenses,
and other transaction costs. These charges are separate from and in addition to the Firm's advisory fees.
The Firm does not receive compensation from the sale of securities or other investment products to clients.

Item 7 — Types of Clients

The Firm provides advisory services primarily to private investment funds and the investors in those funds,
including high-net-worth individuals and entities that qualify as accredited investors under applicable
securities laws. Minimum investment requirements, if any, are set forth in the applicable fund's offering
documents.
