Item 5 – Fees and Compensation
Asset Management Fees
GTIM bases its advisory fees for asset management on the value of assets under management
(“AUM”), as disclosed in the client’s periodic statement with the Custodian. These fees are negotiable
between the Adviser and the client and are calculated as a percentage of the AUM according to the
following schedule:
1.5% on AUM up to $999,999
1.25% on AUM from $1,000,000 to $2,999,999
1% on AUM of $3,000,000 and above
Total fees collected by Adviser and third-party managers will not exceed 2% of AUM annually.
There is no minimum annual fee. The range for the use of outside Asset Managers will fall in the
range of the above schedule. The fees will not exceed more than 2% of assets under management
per year. However, similar services may be available through other advisers at a lower fee. GTIM
does not allow the use of margin accounts. GTIM, in its sole discretion, may waive its fee based upon
certain considerations including, but not limited to, the IAR’s historical relationship with the client,
related accounts, anticipated future assets, types of assets, etc.
Fees are billed monthly or quarterly in arrears. Clients will be provided with an invoice that indicates
the amount of the fee, the value of assets upon which the fee is based, the period covered by the
fee and the computation of the fee. Payment of the invoice may be made by direct deduction from
the client’s account with the custodian. For the Adviser to receive its fee directly from the custodian,
the client must provide written authorization to the custodian in advance. The monthly or quarterly
aum fee will be the sum of (a) the daily account asset values for each day in the preceding calendar
month multiplied by (b) the annualized fee rate divided by 365. The “account asset value” means
the sum of the market value of all securities (both long and short) and money market funds and
funds and credit balances as well as all cash and cash equivalents, less margin debit balances.
Other Fees – Asset Management
GTIM fees do not include brokerage commissions, transaction fees, and other brokerage- related
costs and expenses that are paid by the client. The Client may pay additional fees imposed by
custodians, brokers, and other third parties. The advisory fee does not cover charges imposed by
third parties for investments held in the account, such as management fees charged by mutual
funds for their services as investment managers.
These fees are in addition to the fees paid to GTIM. Clients will incur brokerage and other
transaction costs as discussed in Item 12 of our disclosure brochure that discusses brokerage.
For client accounts managed via GTIM’s technology, administrative, operations and advisory
support services partner Amplify Technology LLC, the Client maybe charged a reporting and billing
fee of 2.00 BPS.
Termination of Asset Management Advisory Agreement
Either the client or GTIM may terminate the Asset Management Advisory Agreement at any time by
providing the other party with written notice. Unpaid fees will only be calculated and charged up to
the date of termination. Any refunds will be sent by check to the client’s address of record within 30
days, unless otherwise directed in writing by the client.
IMPORTANT
If you have not received the Firm’s Brochure at least 48 hours prior to signing an investment
advisory contract, you may terminate the investment advisory contract within five (5) business days
of signing the contract without incurring any advisory fees. Your IAR may operate in various
capacities including, but not limited to, as an IAR offering you various advisory services. Therefore,
your IAR may recommend investment products. We or your supervised person has an incentive to
recommend investment products based on the compensation received, rather than on a client’s
needs. As such, a conflict of interest may exist in the compensation your IAR receives for services
offered through the Firm and the compensation your IAR may receive on the purchase or sale of an
investment. To reduce this conflict of interest, if your IAR recommends investment products, you
have the option to purchase or sell such investments through other brokers or agents who are not
affiliated with us.
Financial Planning Fees
GTIM provides its clients with varying levels of financial planning and consultation services. GTIM’s
financial planning and consulting fees are negotiable, but generally range from $2,500 to $12,000
per year, depending upon the level and scope of the services required, and / or are charged on an
hourly basis at a rate of between $250 per hour to $500 per hour.
Our services include comprehensive financial planning, portfolio management, and personalized
investment strategies tailored to meet individual goals. We utilize a tiered fee structure that ensures
fair and proportional costs, and for clients with lower asset amounts, this fee is either toward the
lower end of the range and / or in many circumstances waived.
If a client determines to engage the adviser to provide discretionary investment management
services, such services shall be considered in determining the client’s final financial planning and
consulting fee. Other factors considered include but are not limited to the level and scope of the
overall investment advisory services to be rendered and the complexity of the engagement.
Fee differentials. GTIM shall price its financial planning and consulting services, as well as any
included asset management services, based upon various objective and subjective factors. As a
result, Adviser Clients could pay diverse fees based upon the complexity of the engagement, the
anticipated number of meetings and servicing needs, related accounts, future earning capacity,
managing assets and the level and scope of the overall services to be rendered. As a result, similar
