Item 5 – Fees and Compensation A. Compensation for Advisory Services Advisory Fees for Separately Managed Accounts and Sub-Advisory Accounts Currently, HSI assesses fees for advisory services to Separately Managed Accounts and Sub-Advisory Accounts based upon an annual percentage of the net asset value of each Separately Managed Account and Sub-Advisory Account. The typical advisory fee rate is approximately 0.25% to 1.20% of the net asset value of the account per annum. Advisory fees are negotiable based on a number of factors, including but not limited to the size of the account, the complexity of the investment strategy, and other Client-specific operational requirements. In addition to the advisory fees, HSI may also charge a performance-based fee, which is described in Item 6 below. Advisory Fees for Hazelview Investment Funds Currently, HSI assesses fees for advisory services to Hazelview Investment Funds based upon an annual percentage of the net asset value of each Hazelview Investment Fund. The advisory fee ranges from approximately 0.70% to 1.9%, as disclosed in each Hazelview Investment Fund’s offering document. Advisory fees are not negotiable. In addition to the advisory fees, HSI may also charge a performance-based fee, which is described in Item 6 below. B. Payment for Fees Incurred HSI will send invoices to Clients on a monthly or quarterly basis to facilitate the payment of advisory fees. C. Other Fees and Expenses Clients will also incur custodial fees, brokerage and other transaction costs which are in addition to HSI’s advisory fee. Refer to Item 12 below for more information. D. Payment of Fees In Advance HSI does not charge advisory fees in advance. E. Compensation for Sale of Securities and Other Investment Products Neither HSI nor any of HSI’s supervised persons accepts compensation for the sale of securities or other investment products. |

Item 7 – Types of Clients HSI provides discretionary investment advice to Separately Managed Accounts, Sub- Advisory Accounts and the Hazelview Investment Funds. Separately Managed Account Clients may include pension plans, endowments, foundations, corporate and business entities, trusts, and high net worth individuals. The minimum account size is typically $5,000,000.00 in assets under management for each separate account and may be reduced or waived at the sole discretion of HSI. The minimum subscription amount for the Hazelview Investment Funds are disclosed in the offering memorandum. |
