Item 5: Fees and Compensation
HCIP will serve as an investment manager or adviser to a pooled investment vehicle organized to invest in
securities and other financial instruments. In providing such services to the Fund, the Firm will formulate its
investment objective, direct, and manage the investment and reinvestment of the Partnership’s assets and
provide reports to investors. The Firm will manage the assets of the Fund in accordance with the terms of the
governing documents applicable to each Partnership.

Compensation received by HCIP from the Fund will be generally comprised of a performance-based fee (a.k.a
Carried Interest) and an asset-based fee, and are generally set forth in the disclosure documents, organizational
documents, investment management agreement, and/or subscription agreements. Fees are negotiable and may
vary based on asset size of portfolio, portfolio management services offered, and investment vehicle structure.

HCIP will receive performance-based fees generally when the Fund’s investments realize a minimum return,
and then payment occurs only at the time such return is achieved, or at liquidation, withdrawal, or redemption.

Asset-based fees will be deducted from the Fund account quarterly, in advance, and such fees are expected to
be based on either committed capital or the cost basis of the Portfolio Companies for the relevant fee period.

In general, if an asset-based fee has been paid in full in advance for a period in which either the advisory
contract is terminated, or an investor withdraws or redeems its investment(s), the applicable portion of such
asset-based fee paid relating to the portion of the period of time after such termination, withdrawal, or
redemption will be returned to the client or to the withdrawing or redeeming investor. However, the Fund
typically will not permit termination, withdrawal, or periodic redemption during the investment term, except
under extraordinary circumstances. HCIP may waive or modify fees for members, employees, or affiliates of
HCIP and for relatives of such persons.

HCIP is entitled to be reimbursed for certain expenses that are incurred on behalf of its client. If applicable,
investors will pay other expenses in addition to the fees paid to HCIP. For example, investors may pay costs
such as brokerage commissions, finders fees, placement fees, professional services fees, transaction fees,
custodial fees, transfer taxes, wire transfer fees, and other fees and taxes charged to brokerage accounts and
securities transactions, which are unrelated to the fees collected by HCIP. (Item 12 provides more information

The Fund will be subject to a variety of fees and expenses that are described in detail in its confidential offering
materials. Among other things, these fees and expenses will include the management fees, performance-based
fees, organizational costs, and fees and expenses related to due diligence, travel, legal, insurance, compliance,
professional fees, audit, administration, monitoring, and transactions. Each individual investor in the Fund will
indirectly bear their proportionate share of the Fund’s fees and expenses.

Item 7: Types of Clients
HCIP provides investment advisory services to the Fund in which pension and profit-sharing plans,
corporations, and other business entities, and non-U.S. government entities or agencies, and high net worth
individuals invest.

HCIP Advisors (or the General Partner, as applicable) will generally establish a minimum investment
commitment amount for admission to the Funds, which is described in each Fund’s Governing Documents.
HCIP Advisors (or the General Partner, as applicable) can, in certain circumstances, waive or modify any such
minimum for a Fund Investor in its sole discretion on case-by-case basis.

HCIP Advisors expects to enter into side letter agreements with certain Fund Investors which provide such
Fund Investors with additional or different rights from what such investors have pursuant to the relevant Fund’s
Governing Documents. HCIP Advisors is not required to notify all Fund Investors of any such side letters or
any of the rights or terms or provisions thereof and is not required to offer such additional or different rights
or terms to all Fund Investors.
