ITEM 5: FEES AND COMPENSATION FINANCIAL PLANNING SERVICE FEES Fees for financial planning can be charged on a fixed fee basis. The manner in which fees will be paid will be negotiated between the client and HFG’s advisor representative. HFG provides financial planning services for fixed fees ranging from $200 to $3,000. Fees are based upon the advisor representative providing the services, the client’s investable net worth, complexity of the client’s financial situation and the services being provided. HFG’s financial planning service fees are negotiable. For hourly clients, an estimate of the total hours needed to complete the project will be provided to the client prior to services being rendered. If it is determined during the course of the project that more time is required to complete the service(s), the client will be contacted for approval to continue prior to services being completed. The client will be responsible for actual time expended to complete the project. At the discretion of HFG ’s Advisor Representatives, fees may be paid in advance or arrears. Fees for services and when they are due will be determined and disclosed to the client prior to the execution of the financial planning agreement. If the client engages HFG for multiple services, HFG may offset all or a portion of its fees for those services based upon the amount paid for the financial planning. ASSET MANAGEMENT FEES SEI Private Trust Custodian fees and internal mutual fund expenses are separate from the SEI Program client fees. The fees payable to SIMCO for the individually managed U.S. large cap equity component are as follows: 0.85% for the first $2,000,000 0.75% for the next $4,000,000 0.65% for the next $4,000,000 0.55% for the next $10,000,000 The fees payable to SIMCO for the individually managed municipal bond component are as follows: 0.60% for the first $1,000,000 0.55% for the next $2,000,000 0.45% for the next $2,000,000 0.35% for the next $5,000,000 Page 6 of 31 HFG ADVISORS, LLC HFG Advisor Account Value Maximum Annual Advisory Fee $0 - $500,000 2.00% $500,001 - $1,000,000 1.75% $1,000,001 - $3,000,000 1.50% $3,000,001 and over Negotiable Barden Capital Management Barden Capital Management Account Value Maximum Fees Total Assets of $1,000,000 or less: 2.25% Total Assets of $1,000,001 or more: 2.00% HFG Advisors receives compensation from Barden Capital Management which is included in the fee above. Envestnet HFG Advisor Account Value Maximum Annual Advisory Fee $0 - $500,000 2.00% $500,001 - $1,000,000 1.75% $1,000,001 - $3,000,000 1.50% $3,000,001 and over Negotiable OTHER COMPENSATION In addition to the management and financial planning fees described above, individual IA Reps of HFG may also be licensed as registered representatives and/or insurance agents to sell investment and/or insurance products and may receive brokerage and/or insurance commissions for the sale of those investment and/or insurance products. This creates a conflict of interest and may offer IA Reps an incentive to recommend investment and/or insurance products that produce brokerage and/or insurance commissions for the IA Rep. When any such recommendations are made, IA Reps will disclose their commissions prior to completing any transaction and will obtain specific consent from the Client before purchasing any investment and/or insurance product. Additionally, Clients always have the option to purchase investment and/or insurance products through other agents not affiliated with HFG. Any insurance commissions will be charged separately through the insurance company or agency and remitted to the IA Rep in their capacity as an insurance agent. Insurance commissions will be in addition to the advisory fees and HFG may reduce advisory fees for clients that purchase investment and/or insurance products in an effort to accomplish an equitable Advisor/Client relationship. Page 7 of 31 HFG ADVISORS, LLC If Advisory clients choose to terminate contracts with Third Party Money Managers, they may do so by contacting the Money Manager directly or by contacting HFG Advisors directly. Any unearned fees that were paid by the client will be reimbursed. Asset Withdrawals, Additions and Restrictions The client may make additions to and withdrawals from the account at any time, subject to the registrant’s right to terminate an account. If assets are deposited into an account after the inception of a quarter, the fee payable with respect to such assets will be prorated based on the number of days remaining in the quarter. This would apply to both charges and credits in a clients account. If, for example, HFG charges a client account in advance, any future deposits or withdrawals will be prorated based on the date of transaction. Clients may withdraw account assets on notice to the Registrant, subject to the usual and customary securities settlement procedures. For partial withdrawals within a billing period, HFG may credit its unearned fee towards the next quarter’s fee. However, HFG designs its portfolios as long-term investments and asset withdrawals may impair the achievement of a client’s investment objectives. Additions may be in cash or securities provided that HFG reserves the right to liquidate any transferred securities, or decline to accept particular securities into a client’s account. HFG may consult with its clients about the options and ramifications of transferring securities. However, clients are advised that when transferred securities are liquidated, they are subject to transaction fees, fees assessed at the mutual fund level (i.e. contingent deferred sales charge) and/or tax ramifications. ITEM 7: TYPES OF CLIENTS HFG provides financial planning, consulting and investment management services to individuals, high net worth individuals, businesses and retirement plans. The minimum investment required in the SEI Program is $50,000. As a general rule, HFG recommends a minimum of $25,000 to establish and maintain Managed account mutual fund portfolios, $50,000 for separate account portfolios, $250,000 for multi asset class portfolios and $50,000 for advisor directed portfolios. All minimums are negotiable at the discretion of HFG and the appropriate Third-Party Money Managers/Sub-Advisors. While HFG does not establish minimums for accounts held at third-party broker/dealer custodians, such firms may require a minimum account size for the opening and maintenance of your account. Such minimums will vary and are disclosed in the third party’s account application materials. |
