Item 5 - Fees and Compensation HGM or its affiliates receive a management fee and performance-based compensation from Clients. Such compensation arrangements are set forth in the relevant Offering Document with each Client. The management fees paid by the Funds are generally equal to an annual rate of 1.50%, based on the respective values of the net assets of each particular share class. The Firm or its affiliates may reduce, waive or calculate differently the management fee for certain investors or Clients, including members, employees and affiliates of the Firm. HGM expects that certain Funds will be responsible for investment-related expenses (including brokerage commissions (see Item 12 below), as well as expenses related to proxies, underwriting and private placements, Bloomberg terminals, research, reasonable travel, trade publications, interest on debit balances or borrowings, custodial fees and any withholding or transfer taxes imposed on the Funds. The Funds also bears all out-of-pocket costs of the administration of the Funds, including accounting, audit and legal expenses, costs of any litigation or investigation involving the Funds’ activities and costs associated with reporting and providing information to existing and prospective investors, in addition to organizational and offering expenses. Expenses are generally allocated among Funds based on net assets under management. The sub-advised private fund is generally responsible for its own expenses. Highside Global Management LLC Form ADV Part 2A Item 6 Performance Fees and Side-by-Side Management The Firm or its affiliates receive performance-based compensation from Clients, generally equal to 20% of the net profits, depending on the net asset value of each particular share class of each Client. Additional information regarding such compensation arrangements are set forth in the relevant Offering Document with each Client. The Firm or its affiliates may reduce, waive or calculate differently the performance-based compensation for certain investors or Clients, including members, employees and affiliates of the Firm. The terms of the performance-based compensation may differ among the Clients. This may result in a conflict of interest when allocating opportunities among Clients, as HGM may have an incentive to favor Clients that have higher performance-based compensation. To avoid such a conflict of interest, the Firm has developed documented procedures for allocating opportunities among Clients in a fair and equitable manner. As management fees and performance-based compensation are based directly on Clients’ net asset values, HGM may have a conflict of interest in valuing the assets held in Client accounts. HGM follows documented valuation policies and consults with each Client’s third-party administrator, as applicable, in order to mitigate this risk. |

Item 7 - Types of Clients HGM provides investment advice to private funds which they sponsor and provides investment advice on a sub-advisory basis to private funds sponsored by other investment managers. The initial minimum to invest in a Fund is $1,000,000, although HGM may accept investments in a lesser amount in their sole discretion. Investment in the Funds is limited to investors that meet certain financial sophistication requirements. Investors in the Funds must be (i) “accredited investors” within the meaning of Regulation D under the Securities Act of 1933, as amended, and (ii) “qualified purchasers” within the meaning of the Investment Company Act of 1940, as amended (the “1940 Act”). Certain HGM employees who qualify as “knowledgeable employees” under Rule 3c-5 of the 1940 Act are also permitted to invest directly or indirectly in the Fund. Investors considering an investment in the Funds should consult with their own investment, tax and/or legal consultants prior to investing. |
