Item 5: Fees and Compensation Investment Vehicles For the services they provide to the Investment Vehicles, each of the Advisors generally is entitled to periodically (typically, quarterly) deduct a management fee (a “Management Fee”) generally based upon the amounts of assets under management, capital commitments or actively invested capital (subject to reduction in respect of certain assets). in each Investment Vehicle. The Management Fees generally will be prorated for any period that is less than a full fiscal quarter. For certain Investment Vehicles, Management Fees are reduced by 100% of each investor’s allocable share of any commitment, closing, origination, transaction, break-up, directors’, monitoring, management, amendment and other similar fees paid to each Advisor and its affiliates in connection with the provision of capital and/or services to a portfolio company. Investors in certain Investment Vehicles, such as CLOs, may pay additional fees to an Advisor, such as structuring or similar fees. In some cases, the general partner or Advisor of an Investment Vehicle waives or rebates the Management Fee as it applies to interests in the relevant Investment Vehicle held by such general partner or Advisor, ICG Group and their respective affiliates, including their employees, officers, directors, and managers, and affiliates or family members thereof or entities for their benefit, and general partners and/or Advisors have in the past, and could in the future, waive, reduce or vary the Management Fee as to one or more other particular investors, by separate agreement, without notice to the other investors. Investors in the Investment Vehicles generally also bear an “incentive fee,” “carried interest,” “performance allocation,” or other similar performance-based fee (as further described in Item 6 below). The specific fees and fee structure for each Investment Vehicle are set forth in that Investment Vehicle’s organizational documents and offering memoranda. The organizational documents and offering memoranda for each Investment Vehicle list expenses that are typically borne by the Investment Vehicles (and indirectly by the Investors in the Investment Vehicles) and paid to third parties. Prospective and existing investors in the Investment Vehicles are advised to review these documents for an extensive description of the expenses associated with an investment in each Investment Vehicle. Additionally, one or more members of the ICG Group, in its sole discretion, subject to limitations in the Investment Advisers Act of 1940 and of organizational documents, could determine who is best suited to bear certain expenses in lieu of one of the Investment Vehicles. The fees and expenses of the Investment Vehicles are described in detail in the relevant Investment Vehicle governing documents and may include brokerage fees, commissions, mark-ups or mark-downs and other related transaction costs such as research, valuation and appraisal expenses; custodial charges; interest and similar financing expenses; taxes, duties, and other governmental charges; transfer and registration fees or similar expenses; administrative costs, such as legal, compliance, audit, insurance and other operational ICG Investments Group, Inc. Form ADV Part 2A costs; fund organizational expenses; professional services fees, such as consultants; for the Secondaries Funds, fees and expenses charged by other underlying funds; other portfolio expenses; sales and use taxes; and other costs, expenses and fees (including third-party settlement related fees that could be charged in connection with certain types of investments). SMAs For the services ICG Investments provides to SMAs, fees will be determined on a case-by-case basis, which could include management fees and or performance-based compensation. |

Item 7: Types of Clients
As described in Item 4 above, the Advisors provide investment advisory services to Investment Vehicles,
which are pooled investment vehicles exempt from registration under the Investment Company Act of
1940, as amended, and to SMAs of institutional investors (together with the Investment Vehicles,
“Clients”). Each Advisor provides investment advisory services to one or more of the following types of

institutions, either directly or through an Investment Vehicle:
• Banks and other financial institutions
• Insurance companies
• Investment companies
• Public and private retirement and pension plans
• State and municipal government agencies
• Sovereign wealth funds
• Hedge funds and fund of funds
• Corporations
• Family Offices
The Advisors provide investment advisory services to the following categories of Investment Vehicles:
• CLOs
• Loan Funds
• Private Debt Funds
• Alternative Credit Funds
• Secondaries Funds
The Advisors generally require each investor in the Investment Vehicles to be a “qualified purchaser” as
defined in the U.S. Investment Company Act of 1940, as amended. The Advisors also require investors to
make representations concerning their level of financial sophistication and their ability to bear the risk of
loss of their entire investment. Certain Investment Vehicles will require a minimum initial investment, as
determined by the general partner of each Investment Vehicle. Minimum investment amounts in the
Investment Vehicles have been reduced or waived in the past by each Investment Vehicle’s respective
general partner and may expected to be reduced or waived for certain Investment Vehicles in the future.
Any minimum initial investment amount for SMAs will be determined on a case-by-case basis.
