Item 5. Fees and Compensation A. Fee Schedule The fees and compensation payable to IG Better Future Management vary among its Clients and investment vehicles. Fees are established in each Client’s Governing Documents, and the information provided in this Item 5 is a summary only, qualified in its entirety by those Governing Documents. It is critical that current and prospective Investors refer to the relevant Governing Documents for a complete understanding of all fees and expenses. Management Fees IG Better Future Management receives management fees from its clients in accordance with each Client’s Governing Documents. Management fees are calculated based on each Investor's committed capital, as defined in the applicable Governing Documents, and are not affected by changes in the net asset value (NAV) of the vehicle or the valuation of its underlying investments. The management fee structure differs depending on the type of vehicle and the size of the Investor’s commitment. The following table sets forth the general fee ranges applicable to Clients; however, specific rates for each vehicle are set forth in the applicable Governing Documents, which Investors should review carefully. Fees may be negotiated and may vary from the ranges below. Investment Commitment Management Fee (per annum) Up to $2,000,000 2.0% – 2.5% $2,000,001 to $5,000,000 1.5% – 2.0% Above $5,000,000 Subject to negotiation In addition to management fees, certain vehicles may charge a one-time closing fee, the terms of which are set forth in the applicable Governing Documents. Carried interest is described in Item 6 below. The rates set forth above are general reference ranges only. All fees are ultimately governed by and subject to the terms of each Client’s Governing Documents. The Firm may negotiate or waive fees in its discretion, including for charitable organizations, employees, or their family members, or in connection with particular investment commitments or circumstances. IG Better Future Management has waived or negotiated lower fees for certain clients, under specific circumstances. If a client terminates the investment management agreement with IG Better Future Management in the middle of a billing period, IG Better Future Management will invoice the client for an amount that is pro-rated based on the number of days that the account was managed. Management fees are payable in accordance with each Client’s Governing Documents. If a vehicle is liquidated prior to the end of the applicable fee period, any prepaid but unearned management fees are returned to Investors on a pro-rata basis. IG Better Future Management reserves the right, at any time and in its sole discretion, to defer or waive its management fee, in whole or in part. Any such deferred or waived amounts may be applied by the Firm or its affiliates as capital contributions otherwise required to be made by the General Partner in initial or subsequent drawdowns. Investors should be aware that this practice may result in the Firm or its affiliated general partner entities acquiring an economic interest in a client vehicle. The Firm believes this practice is consistent with its fiduciary obligations and aligns the interests of the Firm with those of its Investors; however, Investors are encouraged to review the applicable Governing Documents for a complete description of the fee offset and deferral provisions applicable to their respective vehicles. Other Expenses In addition to management fees and carried interest, Clients bear organizational expenses, operating expenses, transaction-related expenses, legal and accounting fees, audit fees, valuation expenses, tax preparation costs, and other expenses as described in the applicable Governing Documents. For the non‑discretionary advisory services described in item 4, IG is compensated pursuant to separate advisory agreements with each client. Compensation generally consists of an annual advisory fee calculated based on the amount of client assets deployed into transactions in which IG is also involved. Fee terms are negotiated on a client‑by‑client basis and are described in the applicable advisory agreement. Clients may pay advisory fees to the Firm regardless of whether an investment ultimately generates a gain or loss. Clients are encouraged to review their advisory agreements carefully for additional details regarding fees and expenses. |

Item 7. Types of Clients
IG Better Future Management, primarily provides investment advisory and management
services to private investment vehicles whose Investors include:
• High-net-worth individuals and their associated trusts and family entities;
• Family offices;
• Institutional investors, including endowments, foundations, and certain pension
and profit-sharing plans; and
• Other legal entities and accredited investors as permitted by applicable law and as
set forth in each Client’s Governing Documents.
Investors must qualify as “accredited investors” as defined under Regulation D of the
Securities Act of 1933, and, in certain cases, as “qualified purchasers” as defined under
the Investment Company Act of 1940 or meet such other eligibility criteria as described in
the applicable Governing Documents. The majority of the Firm’s Investors are qualified
purchasers.
The minimum investment in any Client managed by IG Better Future Management is
generally $100,000, subject to manager discretion, considering each Investor’s
circumstances, investment objectives, and the availability of the relevant investment
opportunity. In certain instances, the minimum investment amount may be negotiated,
including where an Investor has committed to reach the minimum threshold over a defined
period. IG Better Future Management does not impose a formal minimum portfolio size
for existing Investors. |
