Item 5: Fees and Compensation The fees applicable to each of the Funds are set forth in detail in the corresponding Offering Documents. A brief summary of such fees is provided below. Management Fee IronArc is paid an investment management fee (“Management Fee”) based on a percentage of the LPs committed capital. The Fees will range from 0-20%. The Investment Manager, in its sole discretion, may waive or modify the Management Fee for any Investor. Other Types of Fees or Expenses IronArc is authorized to incur and pay in the name and on behalf of the Funds all expenses which they deem necessary or advisable. The Firm is responsible for and shall pay, or cause to be paid, all of their own ordinary administrative and overhead expenses, including, without limitation, all costs and expenses related to rent, furniture, fixtures, equipment, office supplies, clerical expenses and all salaries, bonuses and benefits paid to, or on behalf of, personnel of the Firm. The Funds bear all other expenses, which include, without limitation, the following expenses incurred by or allocable to the Funds: (i) the structuring, organizing, negotiating, consummating, financing, refinancing, diligencing, acquiring, bidding on, owning, managing, monitoring, operating, holding, hedging, restructuring, trading, selling, valuing, winding up, liquidating, dissolving or otherwise disposing of, as applicable, the Portfolio Company and any of the Fund’s other actual and potential investments (including follow-on investments) or seeking to do any of the foregoing (including any associated legal, financing, commitment, transaction or other fees and expenses payable to attorneys, accountants, tax professionals, investment bankers, lenders, third-party diligence software and service providers, consultants and any similar professionals in connection therewith), whether or not any contemplated transaction or project is consummated and whether or not such activities are successful and whether or not such activities were undertaken prior to the date hereof; (ii) brokerage, sale, custodial, depositary, trustee, record keeping, account and similar services; (iii) legal, accounting, research, auditing, administration (including fees and expenses associated with the Fund’s third-party administrator, third-party consultant and administration, tracking or reporting software, if any, and third-parties engaged to perform anti-money laundering and IronArc Management LLC Form ADV Part 2A Brochure know-your-customer compliance and administration, if any), information, appraisal, advisory, valuation, consulting, custody, environmental evaluation, safekeeping, proxy voting, management, business, tax and other professional services; (iv) insurance (including directors and officers liability, fidelity, management liability, cybersecurity, errors and omissions liability, crime coverage, general partnership liability premiums and other insurance and regulatory expenses, including any costs and expenses relating to any retention or deductibles and broker fees, costs and commissions) and any consultants or other advisors utilized in the procurement, review and analysis of insurance policies; (v) filing, title, transfer, registration and other similar fees and expenses; (vi) the preparation, distribution or filing of Fund-related or investment-related financial statements or other reports, tax returns, tax estimates, Schedule K 1s (or equivalent), other communications with Partners or any other administrative, compliance or Fund-related or investment-related regulatory filings, reports, documents, forms, schedules and information; (vii) developing, licensing, implementing, maintaining or upgrading any web portal, extranet tools, computer software or other administrative or reporting tools (including subscription-based services, software and extranet tools) for the benefit of the Fund or the Limited Partners and fees and costs of any third-party service providers, software and professionals; (viii) indemnification; (ix) actual, threatened or otherwise anticipated litigation, mediation, arbitration or other dispute resolution process, including the costs and expenses of discovery related thereto and any judgment, other award or settlement entered into in connection therewith; (x) the termination, liquidation, winding up or dissolution of the Fund and any legal entities owned directly or indirectly by the Fund; (xi) amendments to, and waivers, consents or approvals pursuant to, the constituent documents of the Fund, the General Partner and the Management Company, including the preparation, distribution and implementation thereof; (xii) (A) complying with any law, regulation or policy related to the activities of the Fund (including any legal fees and expenses related thereto and any regulatory expenses of the General Partner or any administrator related thereto incurred in connection with the operation of the Fund, any costs or expenses related to compliance with any Data Protection Law and any “Know Your Customer,” anti-money laundering (including any validation of any payments made in connection with any voluntary or compulsory review), sanctions or anti- terrorism laws, rules, regulations, directives or special measures, and any costs and expenses related to compliance with any environmental, social and governance investor considerations and policies of the General Partner and the Fund) and/or (B) any litigation or governmental inquiry, investigation or proceeding involving the Fund, including any costs and expenses of discovery related thereto and the amount of any judgments, settlements or fines paid in connection therewith, except to the extent such expenses or amounts have been determined to be excluded from the indemnification provided for in this Agreement; (xiii) unreimbursed costs and expenses incurred in connection with any Transfer or proposed Transfer as laid out ... |

Item 7: Types of Clients Our clients are the Funds, as described in Item 4 above, and the Funds are generally open to, among others, institutions, pension plans, endowments, high net-worth individuals, financially sophisticated individuals, and other sophisticated investors.
