Item 5: Fees and Compensation

Investment Advisory fees

Juno typically bases its fee on a percentage of assets under management. Annual asset-based
advisory fees are calculated using a tiered fee schedule. Clients with assets at or above $10
million may negotiate a fixed fee.

Each segment of a client’s assets under management will generally follow the fee schedule
below:

    $0-$100,000                   1.50%
    $100,001-$500,000             1.05%
    $500,001-$1,000,000           1.00%
    $1,000,001-$2,000,000         0.85%
    $2,000,001-$5,000,000         0.65%
    $5,000,001-$10,000,000        0.30%
    Above $10,000,000             0.15%

Asset-based fees include comprehensive financial planning for clients whose assets under
management with Juno exceed $1,000,000. We offer financial planning services under
subscription fee arrangements to clients with less than $1,000,000 in assets under management
with JFG. The minimum fee for the first year of subscription based financial planning services is
$2,500.

Management and financial planning fees are negotiable; however, client facts, circumstances
and needs are considered in determining a negotiated advisory and financial planning fee
schedules. Juno will typically household billing for multiple accounts of immediately related
family members living in the same residence for management fees. The Firm reserves the right
to household accounts where appropriate and to bill clients individually at its discretion. Each
client's advisory and financial planning agreement with JFG details the advisory and financial
planning fees.

Juno bills advisory fees quarterly, in advance, based on the value of the assets in the account(s)
on the last business day of the previous calendar quarter. If assets are deposited or withdrawn
from an account after the inception of a billing period, the fee payable with respect to such assets
may be prorated.

If a client opens an account after the quarter begins, JFG prorates the advisory fee based on the
value of the assets on the first day under management and the number of days remaining in the
calendar quarter. This prorated fee is added to the first full quarter’s fee statement.

A client agreement may be terminated at any time, by either party, for any reason upon receipt
of written notice. Upon termination of any account, any prepaid, unearned fees will be
promptly refunded. Clients will pay management fees pro-rated through the date that Juno
Financial Group ceases management of those assets.

We will typically request authorization to deduct advisory fees directly from each client’s
account, otherwise the client will be invoiced. Fee deductions from client accounts or invoices
will occur at the beginning of each calendar quarter.

In addition to the advisory fee, there are additional costs and expenses imposed by companies
other than JFG that may include, but may not be limited to, mutual fund and exchange-traded
fund (“ETF”) management fees and expenses, brokerage fees paid to clear transactions, mark-
ups/mark-downs on fixed income trades, annual fees paid for custodial services, spreads paid
to market makers, fees for trades executed away from the custodian, wire transfer fees and
other fees and taxes on brokerage accounts and securities transactions. These charges are
separate and distinct from the fees paid for investment advisory services or other services
provided to clients.

Accounts for employees and their family members or others may be managed for reduced fees
or no fee. Exceptions to our standard fees may result in a conflict of interest and variation in

the degree to which the accounts are managed. Juno Financial Group strives to provide our
services consistently to all clients, including those described here.

Separate Account Manager Fees

When a Separate Account Manager is utilized, the Manager’s fees will either be included in the
advisory fee charged by Juno or billed to the client separately by the Manager. This will be outlined
in the agreement with the Separate Account Manager.

Retirement Plan Advisory Fees

Juno may charge Retirement Plan clients for services as either a flat fee or an asset-based charge.
You pay an asset-based fee typically on a quarterly basis in advance or arrears, as determined. Some
Plan Sponsors may pay fees monthly, depending on the agreement.

Fees for services are negotiable and vary depending on the facts and circumstances of a specific
Plan, such as the scope of services to be provided, the duration of services and the size of the Plan
client, such as the number of employees, amount of assets and other demographic factors.

Our flat fees generally range from $1,000 to $100,000 but are negotiable; asset-based fees are based
upon the market value of the Plan assets and generally range from 0.25% to 1% of Plan assets. In
accordance with ERISA and corresponding interpretations, an Advisor will offset their fees by the
amount of payments, if any, received from other sources.

Some Plan Sponsors may also choose to pay some or all of the plan expenses.

This grid does not apply to SEPs and SIMPLE IRAs, or Individual/Solo 401(k) plans.

Fee Billing Methods

Juno typically requests client authorization to deduct fees directly from their accounts. This
authorization will be included in the advisory agreement, or other services agreement, and
custodian account opening documents that you will execute to engage our services, as
applicable. If Juno does not receive authorization to deduct fees directly from client accounts,
clients will be invoiced on a quarterly basis.

Your custodian will provide you with statements that show the amount of any fees paid directly
to Juno. Your custodian does not verify the accuracy of our fee calculations.

  Juno Financial Group primarily provides advisory services to individuals, high net worth
  individuals, retirement plans, corporations, trusts, estates, non-profit organizations, and
  foundations.

  We do not currently impose minimum requirements.
