Item 5 – Fees and Compensation

The Firm collects a management fee from certain Funds based on a percentage of the contributed capital.
Certain of the Funds directly pay expenses incurred for the operation of the Funds.

Certain other Funds advised by the Firm have an expense carveout of $22,500, such amount will be used
to directly pay Fund expenses, consistent with the relevant Funds’ Governing Documents. The Firm will
pay normal operating expenses incurred for day-to-day administrative services provided to the Funds
including overhead and expenses incurred by the Firm related to the analysis of potential investments.

An affiliate of the Firm, the General Partner of certain Funds, has a carried interest in such Funds, as
described below in Item 6. Please refer to the Governing Documents of each Fund for further details on all
fees and expenses paid by such Fund.

For certain Funds, Mr. Singer will receive compensation for services rendered to such Fund’s portfolio
company and/or for his service on the portfolio company’s board of directors. Such compensation is
provided directly to Mr. Singer and does not offset the management fee of such Funds.

Expenses incurred by Fund investors include, but are not limited to the following:

The Funds generally bear certain costs and expenses relating to their operations, depending on the Fund.
Such costs and expenses include but are not limited to: (i) the management fee (ii) the performance fee in
the form of carried interest (iii) legal, administrative, tax and/or accounting expenses and related expenses;
(iv) corporate, state registration and related expenses; (v) cost of postage or similar ancillary expense
related to preparation of tax mailings or other documents; (vi) any expenses of service providers in the
provision of services allowable under the Governing Documents. A more detailed description of the types
of fees and expenses the Funds pay is set forth in the Governing Documents.

Item 7 – Types of Clients

Lakeside Drive provides investment management services to the Funds directly. Investors in the Fund will
be required to meet certain suitability qualifications to comply with applicable federal securities laws and
regulations. Investment advice is provided directly to the Funds and not individually to investors in such
Fund. The Firm will not consider the investment needs or objectives of individual investor but may consider
the investors as a whole when making decisions regarding the Funds and/or their investments.

The Funds are available for investment only by institutional investors and other sophisticated, high- net-
worth investors, who meet the eligibility requirements of the applicable Fund set forth in each Fund’s
Governing Documents. Investors in the Funds include high net worth individuals, insurance companies and
other pooled investment vehicles. Each Fund is exempt from registration as an investment company under
the Investment Company Act of 1940, as amended "), under Section 3(c)(1) thereof.
