ITEM 5. FEES AND COMPENSATION Management Fees LCP does not charge Investors any management fees. LCP may charge management fees in the future on new investments, but will only do so with appropriate disclosure in the applicable Governing Documents. Monitoring Fees LCP has received and expects to receive Monitoring Fees from its Portfolio Companies. LCP generally has discretion over whether to charge Monitoring Fees or other similar fees to a Portfolio Company and, if so, the rate, timing and/or amount of such fees. Monitoring Fees are charged for management services that include creating and implementing financial plans and reporting; sourcing, evaluating, and management of add-on investments; serving on Portfolio Company boards; and other related services. Monitoring Fees could be fixed or variable. Monitoring Fees paid by a Portfolio Company may be subject to the terms and conditions provided for in loan agreements entered into between the Portfolio Companies and their lenders and, accordingly, may be paused or terminated if an event of default or other similar condition under the loan agreement occurs at the lender’s discretion. Monitoring Fees are paid in addition to Transaction Fees and carried interest (discussed in Item No. 6) and do not offset any carried interest LCP receives. Transaction Fees LCP also receives transaction closing fees (“Transaction Fees”) when it closes an investment in a Portfolio Company. Transaction Fees are paid to LCP on a one-time basis by the Portfolio Company at closing and are not offset against carried interest or any other form of compensation payable to LCP. The Transaction Fee applicable to each investment is disclosed to participating Investors in the Governing Documents prior to the closing of their investment. LCP earns Transaction Fees in connection with the closing of Portfolio Company acquisitions as compensation for the advisory and transaction execution services performed by LCP’s employees in connection with each investment. These services include, without limitation: identification and sourcing of investment opportunities; preliminary investment evaluation and screening; engagement and oversight of third-party due diligence providers; transaction structuring and negotiation; coordination of legal, accounting, and financing workstreams; and management of the closing process. LCP believes these services are distinct from its ongoing portfolio management and monitoring responsibilities, which are separately compensated through carried interest upon a successful exit. Transaction Fees are not a payment for investment banking or M&A advisory services provided by a licensed broker-dealer. LCP is a registered investment adviser, not a broker- dealer, and the Transaction Fee is distinct from any fees paid to third-party investment banks or financial advisers engaged in connection with a transaction, as described in Item 12 of this Brochure. Carried Interest LCP receives carried interest as provided for in Item No. 6. Independent Sponsor Fees Independent Sponsors may also be compensated through the receipt of Monitoring Fees and Transaction Fees from the Portfolio Companies. Independent Sponsors may also receive carried interest on the sale or disposition of Portfolio Companies. In addition, a portion of the Monitoring Fees paid to LCP may be shared with Co-Investment Vehicles. |

ITEM 7. TYPES OF CLIENTS LCP serves as the discretionary investment adviser to the SPVs. LCP does not provide investment advisory services individually to Investors in SPVs. LCP may decide in the future to provide advice to individual separately managed accounts and to other SPVs or Private Funds. Investors may include, but are not limited to, high-net worth individuals, family offices, and other institutions located in the United States, the United Kingdom, the European Union, and the Middle East. Investors in an SPV or Private Fund are required to meet certain suitability and net worth qualifications, depending on the applicable eligibility requirements of the SPV including, without limitation: (i) an “accredited investor” within the meaning of Rule 501 of Regulation D under the Securities Act of 1933, as amended (the “Securities Act”); (ii) a “qualified purchaser” as defined in Section 2(a)(51) of the Company Act; or (iii) a “knowledgeable employee” within the meaning of Rule 3c-5 of the Company Act. LCP may impose a minimum investment commitment requirement for each SPV it advises but has not yet imposed a minimum requirement on Investors. Any minimum contribution and Investor capital requirement can be waived by LCP or its affiliates at its sole discretion. |
