ITEM 5: FEES AND COMPENSATION
Loomis Capital expects that all Clients will be qualified purchasers as defined in Section 2(a)(51)(A) of the
Investment Company Act of 1940, as amended. Accordingly, fee schedules and related information are
omitted from this Brochure.
Clients will generally be charged an annual management fee (the “Fee”) that will be assessed on a quarterly
basis billed in arrears. The Fee will be based on a percentage of the market value of Portfolio Investments, as
valued by the custodian or based on alternative asset Cumulative Invested Capital, as defined in the
Investment Advisory Agreement. The Client authorizes its Custodian(s) to deduct Fees when due or may pay
Loomis Capital by check or electronic fund transfer.
Loomis Capital has also entered into fixed fee payment structures, where negotiated with the Client as part
of their Investment Advisory Agreement, and are billed in arrears.
Loomis Capital may also charge fees for additional services provided to Clients, such as for estate planning,
insurance and asset protection planning, and tax strategy.
Clients will be provided with a statement, at least quarterly, from the custodian. Clients are urged to also
review statements provided by the custodian, as the custodian does not perform a verification of Fees.
It is the Client’s responsibility, and we encourage you to verify this calculation.
Clients may terminate the advisory relationship by providing written notice. We will prorate the Fees earned
through the termination date and send the Client an invoice for any Fee due.
All fees may be negotiable at the discretion of Loomis Capital, in certain circumstances.
Other Fees/Expenses
In addition to our Fee discussed above, the Client is responsible for paying other fees associated with their
account. These fees may include but are not limited to:
• mutual fund loads (if applicable);
• management fees for ETFs and mutual funds;
• management fees charged by managers of underlying investments, such as third-party managers,
hedge funds, private equity funds, real estate, etc.;
• private Fund expenses;
• custodial fees, brokerage commissions, transaction fees, and other maintenance fees charged by the
custodian and/or executing broker;
• certain interest charges, including margin borrowing and account-related loans; and
• accounting and legal fees including certain tax and audit fees
Loomis Capital does not receive compensation related to the sale of Client securities or other investment
products. Additional information about brokerage costs and services is provided in “Item 12: Brokerage
Practices.” |

ITEM 7: TYPES OF CLIENTS Loomis Capital is a multi-family office that utilizes an outsourced CIO model to support its Clients and to provide investment solutions primarily to high-net-worth individuals and families as well as entities such as companies, trusts, endowments, and foundations that may or may not be associated with Loomis Capital’s Clients. Generally, we require that Clients maintain a minimum of $100 million under management with us. However, we may waive that minimum at our sole discretion. |
