Item 5 Fees and Compensation
ADVISORY FEES

The following information describes how Bardi Co. is compensated for the advisory services we
provide to our clients. The specific manner in which fees are charged and the compensation we
receive may differ between clients depending upon the individual Investment Management
Agreement with each client. Bardi Co. reserves the right to negotiate our compensation with clients
depending on the scope of our advisory relationship, and we may charge higher or lower fees than
are available from other firms for comparable services. Lower fees for comparable services may
be available from other sources.

Investment Management Fees (SMA clients)

In consideration for providing investment management, Bardi Co. receives compensation from
clients ranging from 0.5% to 2%, based on the assets we manage, taken quarterly in advance, as
described below. These fees are negotiable based on the size of the client’s assets under
management with us.

Quarterly Fee Formula

[AUM at the first of a calendar quarter x Fee Rate]/4 = Advisory fee for this quarter

Fees are calculated by our Firm and deducted from their managed accounts by the qualified
custodian. Each time the fee is directly deducted from the client accounts, our Firm will
concurrently send the qualified custodian and clients an invoice or statement itemizing the fee.
Itemization includes the formula used to calculate the fee, the value of the assets under
management on which the fee is based, and the time period covered by the fee. Please refer to
Item 15 for more information.

Additional Fees and Expenses. Clients will incur transaction charges and/or brokerage fees when
purchasing or selling securities. These charges and fees are typically imposed by the broker-dealer
or qualified custodian through which account transactions are executed. For more information on
our brokerage practices, please refer to Item 12 (Brokerage Practices) of this Brochure.

Our Firm or any of our supervised persons do not accept compensation for the sale of securities or
other investment products, including asset-based sales charges or service fees from the sale of
mutual funds.

The fees that clients pay to our Firm for investment advisory services are separate and distinct
from the fees and expenses charged by mutual funds and/or ETFs (described in each fund’s
prospectus) to their shareholders. The fees charged directly by mutual funds and ETFs will
typically include a management fee and other fund expenses.

To fully understand the total costs associated with their investment portfolio, clients should review
all the fees charged by mutual funds, ETFs, our Firm, and others.

Termination. The Investment Management Agreement with our clients may be terminated by
either party at any time upon ninety (90) days' written notice. Upon termination of our status as
the client’s investment adviser, Bardi Co. will not take any further action with respect to the client’s
account(s) unless specifically notified by the client in writing. Clients will be responsible for
instructing their custodian and monitoring their account for the final disposition of assets.
Financial Planning Fees

In consideration for providing financial planning services and pursuant to the financial planning
agreement, our Firm charges a fixed hourly rate of $300 an hour. These fees are negotiable. Clients
will be invoiced directly for investment consulting fees upon completion of the services. We accept
payments via cash, check, or card.

Termination. The Financial Planning Agreement may be terminated in writing at any time without
prior written notice.

Refunds. Upon receipt of a proper notice of termination from the client, as described in the
Investment Management Agreement, any earned unpaid fees will be billed on a pro-rata basis
based on the amount of work performed by us up to the point of termination.

Brokerage Commissions. Bardi Co. and its supervised person(s), when acting as an investment
adviser to you, do not accept compensation for the sale of securities or other investment products,
including asset-based sales charges or service fees from the sale of mutual funds. Our
compensation for recommending securities and investment products is limited to the advisory fees
described above.

Any material conflicts of interest between clients and Bardi Co. or our employees are reasonably
disclosed in this Brochure. If at any time, additional material conflicts of interest develop, Bardi
Co. will provide our clients with written notification of those material conflicts of interest or an
updated Brochure.

TYPES OF CLIENTS

Bardi Co. offers investment advisory services to individuals, individuals with high net worth,
investment companies, and business entities. Client relationships may vary in scope and length of
service.

With regards to individuals, only accredited investors and qualified clients will be permitted to
invest in the private fund, but only qualified clients may be charged performance-based fees in
accordance with CCR section 260.234.1 To be an accredited investor, a person must have an
annual income exceeding $200,000 ($300,000 for joint income) for the last two years with the
expectation of earning the same or a higher income in the current year. A person is also considered
an accredited investor if he/she has a net worth exceeding $1 million, either individually or jointly
with their spouse. A qualified client includes individuals who have at least $1.1 million assets
under management with us or those with a net worth of at least $2.2 million (excluding the value
of one’s primary residence).

ACCOUNT REQUIREMENTS

Bardi Co. requires a minimum of $50,000 to use our SMA investment management service and a
minimum of $100,000 to invest in the private fund we manage.
