Fees and Compensation

A.     Advisory Services and Fees
The Funds will generally pay the Adviser management fees for its investment advisory services
(the “Management Fees”). The Management Fees for the Funds are specified in each Fund’s
prospectus and are based on average net assets (as defined in each Fund’s prospectus), accrued
daily and payable monthly in arrears (at the beginning of the following month). The Management
Fees for the SMAs are subject to the negotiated terms of the investment advisory agreement with
each client and are based on the net asset value (as defined in Governing Documents), calculated
quarterly and payable quarterly, in arrears (at the beginning of the following quarter).

B.     Other Fees and Expenses
The fees and expenses that a Fund shareholder pays are disclosed in the Funds’ prospectus, which
is provided to clients upon investment and is available free of charge upon request at any time.
Current and prospective Fund shareholders should refer to the respective Fund’s prospectus for
detailed information with respect to the fees and expenses they may pay in connection with an
investment in a Fund. From time to time, Mast Investments agrees to waive fees and/or reimburse
a Fund’s expenses to the extent necessary to limit the Fund’s expenses to a specified amount.

SMA clients typically pay other expenses in addition to the advisory fee paid to Mast Investments.
For example, clients pay portfolio transaction costs, including brokerage commissions, transaction
fees, custodial fees, transfer fees, wire transfer fees and other related fees and taxes. To the extent
that the Adviser invests in unaffiliated mutual funds, exchange-traded funds or other pooled
vehicles, clients will pay the associated fees of those vehicles.

With respect to all fees and expenses incurred, the Adviser makes a determination to which of the
following categories such fees, costs and expenses are allocable: (i) solely to the Adviser; (ii)
solely to one Client; (iii) to more than one Client but not to the Adviser; or (iv) to both the Adviser
and to one or more Clients. Such determination shall be made in accordance with the provisions
set forth in the Adviser’s Expense Allocation Policy and as set forth in each Client’s respective
Governing Documents. Once such determination is made, the Adviser shall allocate each of such
fees, costs and expenses as provided therein. Generally, fees, costs and expenses that are
attributable to more than one Client shall be allocated fairly between and among such Clients in a
manner that is fair and equitable based on the nature of the fees, costs and expenses and the benefits
derived therefrom. The management team of the Adviser is responsible for determining the fair
allocation of such fees, costs and expenses, and shall take into consideration all factors that they
deem relevant, including but not limited to (i) the extent of each Clients utilization of the services
associated with such fees, costs and expenses, (ii) the relative benefit to each Client that is derived
from such fees, costs and expenses, and (iii) the relationship of such fees, costs and expenses to
the legal, contractual or other obligations of each of the Clients.

C.     Additional Compensation and Conflicts of Interest
Neither the Adviser nor any of its supervised persons accept compensation for the sale of securities
or other investment products.

Types of Clients

The Adviser provides advisory services, on a discretionary basis, to the Funds and SMAs. As
previously discussed, the Funds are registered investment companies structured as series of the
Trust. SMA clients are generally institutions, corporations, pension plans or other institutional
investors.

With respect to the Funds, initial and additional subscription minimums, if any, are disclosed in
each Fund’s prospectus. The minimum investment for an SMA is specific to the particular account
and is disclosed in the applicable investment management agreement.
