Item 5: Fees and Compensation
In general, each Client pays MIK an annual management fee (the “Management Fee”). The Management
Fee is payable quarterly in advance calculated in accordance with the methodology set forth in the applicable
investment management agreement.

MIK does not have a set minimum to accept a sub-advisory pooled investment vehicle Client.
The minimum initial capital commitment generally required for an investor in any fund is set forth in the
fund’s offering documents.
