Item 5 Fees and Compensation

Generally, Momentus charges management fees quarterly in advance, ranging up to 2% per annum
of total Fund commitments and/or assets under management (the “Management Fees”). Fees can
differ depending on the cycle of the fund such as the commitment period and investment period.

Management fees may be subject to offsets of certain fees (generally, monitoring fees, directors’
fees, etc.) in each case, as described in each Fund’s respective governing documents. Fees that offset
management fees are more specifically defined in each Client’s governing documents.

Momentus charges additional fees such as monitoring fees, servicing fees, administrative fees and/or
setup and administration fees to certain Funds. With respect to some of these additional fees,
Momentus may charge such fees on a one-time basis, a periodic (e.g., monthly) basis or an ad hoc
basis. Momentus may share such fees with an affiliate pursuant to shared services agreements.

Momentus negotiates fees directly with each investor, considering factors such as the size and
complexity of the investment strategy, the specific needs of the investor, and the anticipated duration
of the investment. The firm strives to offer competitive and fair pricing that aligns with the value of
the services provided.

Certain Funds also allocate performance-based compensation to their respective general partners or
managing members (which are affiliates of Momentus), referred to as carried interest, which is a
percentage of the relevant Fund’s profits over a specified minimum return. Specific percentages and
carried interest structures are detailed in the respective Fund’s governing documents.

Clients and investors are encouraged to discuss fee arrangements during initial consultations to
ensure transparency and mutual understanding.

In addition to the management and other fees and performance allocation, each Fund will bear
various organizational and operational expenses. These expenses include various costs and other
liabilities incurred in connection with the formation and organization of, or sale of interests in a Fund,
and expenses directly related to the operation and management of the Funds such as all fees, costs,
expenses and other liabilities or obligations resulting from or arising in connection with developing,
negotiating, and structuring consummated and unconsummated investments and making, holding
and disposing of actual portfolio investments, which include, without limitation, any financing, legal,
accounting, due diligence, advisory, placement fees and expenses, consulting fees and expenses,
brokerage commissions and custodial expenses, and other similar fees, costs and expenses in
connection therewith, expenses incurred in connection with communications with investors, taxes,

fees or other governmental charges levied against a Fund, any tax audit, or any of its tax returns and
Schedules K-1 (and similar schedules), among other costs. These costs are typically borne by the
relevant Fund itself and are accounted for in the calculation of net asset value (NAV). Each Fund’s
governing documents set forth the detailed fees and expenses applicable to that Fund.

Momentus will cover its own overhead expenses such as salary, wages, payroll taxes, employee
benefits and other compensation of the investment personnel and other employees of Momentus
involved in the business and affairs of any Fund, and any costs and expenses of such investment
personnel and their related overhead necessary for Fund operations, such as rent, utilities, property
insurance, furnishings, office supplies and equipment and other similar expenses.

Item 7 Types of Clients

Momentus exclusively provides advisory services to the Funds it manages. The investors in these
funds are "accredited investors" as defined under the Securities Act of 1933, as amended, and
"qualified purchasers" within the meaning of Section 2(a)(51) of the Investment Company Act of
1940, as amended. Momentus does not offer advisory services to any other types of clients outside
of the Funds.
