Item 5 - Fees and Compensation

Fees for Pooled Investment Vehicle Advisory Services
The Funds generally pay to the Adviser an annualized management fee of one percent (1%) of
capital commitments or of the aggregate cost basis of the Funds’ remaining investments, each as set
forth below, and as further described in each Fund’s offering documents (collectively, the
“Management Fee”).

The Management Fee is paid quarterly in advance and is deducted from the applicable Fund.
Generally, the Funds pay the Management Fee on capital committed by certain of the Funds’
investors (“Capital Commitments”) during the Funds’ investment periods and on the aggregate cost
basis of the Funds’ remaining investments thereafter. The Management Fee is generally subject to
waiver or reduction by the General Partner in its sole discretion, including in connection with
investments made by the Adviser and any related persons. In the event of termination of either
Fund Agreement, the Management Fee will be prorated as applicable. Any paid but unearned fees
will be promptly refunded to the applicable Fund, and any fees due to the Adviser from the
applicable Fund will be invoiced or deducted from such Fund prior to termination.

The Funds are responsible for their organizational expenses, including the fees, costs, and expenses
of and incidental to the formation, qualifications to do business, and fund raising of the Funds and
the General Partner. In addition, the Funds are responsible for their ordinary operating expenses,
including, without limitation, the Management Fee, as applicable; fees of the Funds’ independent
auditors and administrator and custodial fees; fees for the maintenance of the Funds’ books and
accounts, including fees of any separate accountants retained for the Funds; fees of the Funds’ legal
counsel (including, without limitation, litigation fees of the Funds); registration and licensing fees;
fees, costs, and expenses related to the sourcing, evaluation, purchasing, holding, and sale of
investments; taxes (including withholding and transfer taxes); governmental fees; preparation and
distribution of investors’ reports and other communications with investors and the public; expenses
for ongoing Fund limited partner support; the costs associated with preparing and delivering
marketing materials (regardless of medium); professional fees of consultants incurred in
connection with the operations of the Funds; insurance costs; costs of Fund borrowing facilities,
including origination expense, legal and compliance fees, and interest; and other costs related to the
operation of the Funds.

information regarding the “carried interest” that the Funds may pay.

Item 7 - Types of Clients

The Adviser serves pooled investment vehicles.

Interests in the Funds are offered pursuant to applicable exemptions from registration under the
Securities Act and the 1940 Act. Permitted investors in the Funds may include high net worth
individuals, banks, thrift institutions, pension and profit-sharing plans, endowments, foundations,
trusts, estates, charitable organizations, and other business entities.

The minimum investment requirement for either Fund is generally $250,000. The General Partner,
in its sole discretion, may permit investments that are less than the minimum investment
commitment set forth in each Fund’s offering documents.
