Fees and Compensation

CAP Accounts: pay an annualized fee (“Advisory Fee”) as follows:

The Advisory Fees described above cover only the services provided under the CAP Agreement.
The client receives a copy of the prospectus on behalf of each mutual fund purchased, and is
aware that each mutual fund will have separate management fees and expenses as detailed in the
prospectus. These fees will be paid by client, through the fund, in addition to CAP Advisory
Fees.

The Advisory Fee is negotiable and is paid quarterly in advance. For purposes of calculating
Advisory Fees and providing performance reports, the account quarter will begin on the first day
of the calendar month in which we accept the account. The initial Advisory Fee is due at the
beginning of the quarter following execution of the CAP Agreement and will include a pro-rated
fee for the number of days the account was managed in the initial quarter in addition to the

standard quarterly fee for the upcoming quarter. Subsequent Advisory Fee payments are due and
will be assessed at the beginning of each quarter based on the value of the assets under
management at the close of business on the last business day of the preceding quarter as valued
by an independent pricing service, where available, or otherwise in good faith as reflected on
client's quarterly portfolio evaluation report. Additional deposits of funds and/or securities are
subject to the billing procedures above.

All Advisory Fees are deducted from the account pursuant to the CAP Agreement unless other
arrangements have been made. The agreement specifies that we are limited to withdrawing only
contractually agreed upon investment advisor fees and that the fees are charged quarterly as
stated above. The agreement also states that the client may terminate the written billing
authorization at any time. The custodian of the assets will receive a copy of the agreement, and
the custodian will issues statements, at least quarterly, detailing all disbursements, including the
amount of advisory fees paid. The client is also sent an invoice detailing the calculation of the
fee. If the client has an objection, he is instructed to call his advisor.

The CAP Agreement may be terminated by either party effective upon written notice to the other
party or parties. The client is entitled to a pro-rata refund of any pre-paid quarterly Account Fee
based upon the number of days remaining in the quarter after the Termination Date. The
Transaction Charges remain in effect for 30 days from the Termination Date. Thereafter,
transactions in a CAP account are processed at normal brokerage rates.

If a CAP account is closed within the first six months by a client or as a result of withdrawals
which bring the account value below the required minimum, NorthStar Financial Partners
reserves the right to retain the pre-paid quarterly Advisory Fee for the current quarter or cancel
and re-bill all transactions in the account at normal and customary brokerage commission rates,
in order to cover the administrative cost of establishing the account.

In addition to the Advisory Fee, the account may be assessed a transaction charge (“Transaction
Charge”) to defray the costs associated with trade execution. Although the Transaction Charge is
identified under the commission column on the confirmation, it represents a reimbursement of
transaction costs and not commissions. The amount of each Transaction Charge is determined
by the custodian. A sample Transaction Charge schedule follows:

Investment Consulting: We receive compensation for these services in several ways based on
what is most appropriate for each client. The structure and fee is disclosed to each client in
writing.

   •   Commission: We are paid by some consulting clients through directed brokerage.
       Commissions are based on multiple factors including: account size, services
       provided, frequency of services, etc. A per-share commission rate is determined
       and applied. These charges are negotiated with each client.

   •   Fixed Fees: We are paid by some consulting clients through an agreed upon fee.

Types of Clients

We provide investment advisory services to individuals, trusts, estates, pension and profit-
sharing plans, charitable organizations, municipalities, as well as other organizations. The
minimum account size in the CAP program is $10,000.

               Methods of Analysis, Investment Strategies and Risk of Loss

Methods of Analysis and Investment Strategies:

Each of our IARs chooses his/her own research methods, investment strategies, and management
philosophy. IARs have access to various research reports and model portfolios to which they
may refer. They may also use one or more of the following methods of analysis or investment
strategies when providing investment advice to you:

   •   Charting Analysis – involves the gathering and processing of price and volume
       information for a particular security. This price and volume information is analyzed
       using mathematical equations. The resulting data is then applied to graphing charts,
       which is used to predict future price movements based on price patterns and trends.

   •   Fundamental Analysis – involves analyzing individual companies and their industry
       groups, such as a company’s financial statements, details regarding the company’s
       product line, the experience and expertise of the company’s management, and the
       outlook for the company’s industry. The resulting data is used to measure the true
       value of the company’s stock compared to the current market value.

   •   Technical Analysis – involves studying past price patterns and trends in the financial
       markets to predict the direction of both the overall market and specific stocks.

   •   Cyclical Analysis – a type of technical analysis that involves evaluating recurring
       price patterns and trends.

Investment strategies and advice may vary depending upon each client’s specific financial
situation. IARs determine investments and allocations based upon predefined objectives, risk
tolerance, time horizon, financial information, liquidity needs, and other various suitability
factors. Your requested restrictions and/or guidelines may also affect the composition of your
portfolio.
