Item 5   Fees and Compensation

 We are compensated for our services on a fee‐only basis.  We do not charge commissions.  Our fees
 are negotiable and are based upon the scope of services to be provided.   We take into consideration
 both the resources required to deliver high‐quality service and the value of those services in the
 marketplace.  We seek to deliver full‐service financial planning, tax prep and investment management
 at competitive rates.

 In general, we charge flat fees for financial planning and income tax preparation, and we charge
 asset‐based fees for investment management services.  Asset‐based fees are based on a percentage
 of Assets under Management (“AUM”).   Our fees are outlined in our agreements.  Our agreements
 are signed at the beginning of each engagement before services are provided.  When we are
 compensated on a percentage of AUM, we typically deduct fees directly from our client’s account not
 less than quarterly, in arrears, and subject to a separate agreement with the custodian.  When we are
 compensated on a flat fee basis, our agreements will typically cover a 12‐month period and be billed
 in arrears.

 In addition to the fees we charge, clients are required to pay fees and expenses charged by the
 custodian that are applicable to the services they provide or to investments held in the account.
 Some examples include brokerage commissions, margin interest, mutual fund fees, custodian fees,
 ADR fees, wire transfer fees and short‐sale dividends. Custodians provide monthly account
 statements to clients.

 Clients may terminate any agreement at any time.  In the event a client terminates an investment
 management agreement prior to the end of a billing period, the amount of the asset‐based fee will be
 prorated based on the number of days elapsed during the billing period.  In determining whether and
 to what extent financial planning services have been provided we will look for evidence of
 performance that is both written and delivered to the client.  We will compare the amount delivered
 to the client to the amount deliverable under the agreement and apply that ratio to the amount paid
 or unpaid to determine whether and to what extent fees are payable.

 If a client contributes money to an account on a date other than the first day of a billing period, the
 asset‐based fee will be prorated for that period with respect to such contribution based on the
 number of days remaining in that billing period and based on the net market value of the contributed
 capital on the opening of trading on the date of such contribution.

 NPMC provides investment management services to high‐net‐worth individuals including trusts and
 other entities created by such individuals and their families, as well as pension plans.  There is no
 account minimum at NPMC, but we do seek relationships with clients who have a minimum of $1
 million for us to manage.
