Item 5 - Fees and Compensation

Management Fees from the Funds

In consideration for the investment management services provided by the Investment Manager, the Fund
of Funds will pay the Investment Manager an annual management fee (the “Management Fee”) of 0.50%
(0.125% quarterly). The Environmental Fund investors who are not founders interest investors pay the
Investment Manager an annual management fee (the “Management Fee”) of 1.0% (0.25% quarterly).
The Fund of Funds and the Environmental Fund may offer series in the future with higher management
fees.

Management Fees are calculated and paid quarterly in advance. Management Fees are deducted from the
Fund of Funds and the Environmental Fund. Old Farm, in its sole discretion, may waive or reduce the
Management Fee to be paid by any Investor.

Additionally, each of Old Farm’s (and therefore the Investors) investments in Portfolio Funds (as defined
below in Item 8) are subject to the management fees, performance fees, and expenses of the Portfolio
Funds, including a pro rata share of the operating costs of each Portfolio Fund.

Client Accounts

Old Farm generally receives an asset-based fee pursuant to an agreement.

Our clients are the Fund of Funds, Environmental Fund, and Client Accounts.
