Item 5 Fees and Compensation
Portfolio Management Services
Our annual fee for Portfolio Management services is based on a percentage of the assets in your
account and will not exceed 1.00%. Our fee is billed and payable quarterly in advance, based on the
balance of your account at the end of billing period for the preceding quarter. The specific fee to which
you are subject will be specified in the Discretionary Management Agreement you sign with our firm
and will typically follow the below table:

Our fees will apply on a pro rata basis, which means that the advisory fee is payable in proportion to
the number of days in the quarter for which you are a client. Our advisory fee is negotiable and may be
waived, in our sole discretion, depending on individual client circumstances.

At our discretion, we may combine the account values of family members living in the same household
to determine the applicable advisory fee and such combining of accounts for fee purposes will be
noted on the Discretionary Management Agreement. For example, we may combine account values for
you and your minor children, joint accounts with your spouse, and other types of related accounts.
Combining account values may increase the asset total, which may result in your paying a reduced
advisory fee based on the available breakpoints in our fee schedule stated above.

We will deduct our fee directly from your account through the qualified custodian holding your funds
and securities. We will deduct our advisory fee only when the following requirements are met:

    • You provide our firm and the qualified custodian with written authorization permitting the fees to
      be paid directly from your account held by the qualified custodian.
    • The qualified custodian agrees to send you a statement, at least quarterly, indicating all
      amounts disbursed from your account including the amount of the advisory fee paid directly to
      our firm.

We encourage you to reconcile our fee with the statement(s) you receive from the qualified custodian.
If you find any inconsistent information between our fee and the statement(s) you receive from the
qualified custodian call our main office number located on the cover page of this brochure.

Under limited circumstances and at our discretion, we may allow you to pay our advisory fees directly
to us by check. Such election will be indicated on the applicable agreement you sign with our firm.

You may terminate the portfolio management agreement upon 30 days written notice. You may
terminate an agreement within the first 5 business days without penalty. You will incur a pro rata
charge for services rendered prior to the termination of the portfolio management agreement, which
means you will incur advisory fees only in proportion to the number of days in the quarter for which you
are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive a prorated
refund of those fees.

Account Additions and Withdrawals
Once an account is opened, clients can make additions to and withdrawals from their account at any
time, subject to our right to terminate an account if it falls below our minimum account size. Additions
can be in cash or securities provided that we reserve the right to liquidate any transferred securities or
decline to accept particular securities into a client's account. Clients can withdraw account assets on
notice to our firm, subject to the usual and customary securities settlement procedures. If more than
$100,000 in assets are deposited to or withdrawn from an account after the beginning of a billing
period, the management fee will be prorated based on the number of days remaining in the billing
period. We design client portfolios as long- term investments and the withdrawal of assets may impair
the achievement of a client's investment objectives. Our firm may consult with clients about the options
and implications of transferring securities. Clients are advised that when transferred securities are
liquidated, they may be subject to transaction fees, short-term redemption fees, fees assessed at the
mutual fund level (e.g., contingent deferred sales charges) and/or tax ramifications.

Financial Planning Services
We charge an hourly fee of $250 per hour, or a fixed fee, for financial planning services, which is
negotiable in our sole discretion, depending on the scope and complexity of the plan, your situation,
and your financial objectives. An estimate of the total time/cost will be determined at the start of the
advisory relationship. In limited circumstances, the cost/time could potentially exceed the initial
estimate. In such cases, we will notify you and request that you approve the additional fee. Fees are
due and payable upon presentation of an invoice, following services rendered.

We also offer advice on single subject financial planning/general consulting services at the same
hourly rate. We will not require prepayment of a fee in excess of $500 six months or more in
advance. At our discretion, we may offset our financial planning fees to the extent you implement the
financial plan through our Portfolio Management Service.

You may terminate the financial planning agreement upon 30 days written notice to our firm. Since
financial planning fees are payable in arrears, you will be responsible for a prorated fee based on
services performed prior to termination of the financial planning agreement and any work product
created prior to termination of the agreement will be delivered to you.

Item 7 Types of Clients
We offer investment advisory services to individuals, charitable organizations and corporations or other
businesses.

In general, we require a minimum of $50,000 to open and maintain an advisory account. At our
discretion, we may waive this minimum account size. For example, we may waive the minimum if you
appear to have potential for increasing your assets under our management. We may also combine
account values for you and your minor children, joint accounts with your spouse, and other types of
related accounts to meet the stated minimum.
