Item 5 - Fees and Compensation Perryridge Capital’s investment advisory fees are collected in accordance with each Fund’s governing documents, which set forth in detail the fee structure relevant to each Fund. Investors should review all fees charged by Perryridge and related entities to fully understand the total amount of fees paid by a Fund and, indirectly, by investors. Management Fee With respect to the Fund, Perryridge Capital charges a management fee (the “Management Fee”) of approximately 1.5%-1.75% (per annum) as further described in the Offering Documents. Management fees for investors in the Fund are charged each quarter in advance. If an investor invests in a Fund during a quarter or makes an additional subscription during a quarter, the management fee will be charged as of the effective date of the subscription based on the subscription amount as of the applicable date and will be prorated for the number of days remaining in the quarter. If an investor withdraws during a calendar quarter, the Adviser will rebate a pro rata amount of the management fee paid as of the beginning of such quarter. Performance-based Compensation With respect to the Fund, the General Partner, an affiliate of the Adviser, may also be entitled to annual performance-based compensation (“Incentive Allocation”) that varies depending on the share class and ranges from 15%-20%, as applicable, and as further described in the Offering Documents. The Incentive Allocation is based on the share of net capital appreciation of the assets of the Fund allocated to each limited partner’s capital account after a reduction for an amount equal to the Management Fee attributable to such limited partner’s capital account, and its portion of any other expenses of the Fund, all subject to a “high water mark.” General As described above, management fees and performance fees vary depending on the class of the Fund. Such fees have been and may in the future be waived, reduced, or calculated differently with respect to certain investors, including, without limitation, investors who subscribed early to the Funds, investors that are officers, directors, members, partners, or employees of Perryridge, members of the immediate families of such persons and trusts or other entities for their benefit, in each case in Perryridge’s sole discretion. To the extent any member, partner or employee of Perryridge or their family members and/or trusts or entities established by or for their benefit are not subject to management fees or performance fees. More detailed information about the fees paid by investors in the Funds is included in each Fund’s governing documents, and the fees applicable to other client accounts are as set forth in the account’s investment management agreement or other governing document, as applicable. With respect to a Fund, the management fee and the amount of any performance-based compensation is calculated (subject to review and oversight by the Adviser) and deducted from the Fund (which in the case of performance-based compensation is structured as a reallocation of profits) by the Fund’s administrator. Other client accounts are sent an invoice for the management fee and performance-based compensation, based on information provided by the third-party administrator for the account. Other Expenses Charged to the Clients Perryridge is authorized to incur and pay in the name and on behalf of its Clients all expenses which we deem necessary or advisable subject to the provisions in the applicable Client’s governing documents. In addition to paying management fees and performance-based compensation, certain client accounts may also be subject to other expenses such as the following: (i) expenses related to the research, due diligence and monitoring of actual and prospective investments (whether or not consummated) and the consummation of investments, including the following: third-party investment sourcing fees; fees and expenses related to obtaining research and market data (including any software or other technology incorporated into the cost of obtaining such research and market data, and expenses related to obtaining, processing and analyzing “big data” or “alternative data”); due diligence expenses including consulting and appraisal fees; travel expenses; brokerage, prime brokerage and futures commission merchant fees, commissions and expenses; expenses relating to short sales; clearing and settlement charges; custodial fees and expenses; bank service fees; middle office fees; interest expenses and fees related to financings or refinancings; fees and expenses of proxy research and voting services; and fees and expenses of third-party professionals, including consultants, investment bankers, attorneys and accountants; (ii) organizational and reorganizational expenses; and (iii) operational expenses, including the following: fees and expenses relating to software or other technology (including costs of software licensing, implementation, data management and recovery services and custom development) used to research investments, evaluate and manage risk, facilitate valuations, facilitate accounting functions, facilitate compliance with the rules of any self-regulatory organization or applicable law (including reporting obligations), facilitate and manage the order execution of securities by a Client or otherwise manage a Client, such as Bloomberg terminals, portfolio management systems, risk management systems and order management systems; fees and expenses of third-party risk management products, models and services; third-party administrative fees and expenses; fees charged by the Firm or its affiliates to provide administration services to a Client, and expenses incurred directly by a Client in connection with the provision of administration services, including out-of-pocket expenses (including travel, lodging and meal expenses); fees and expenses of third- ... |

Item 7 - Types of Clients Perryridge provides advisory services to various private investment funds. The Funds are organized in a “master-feeder” structure, where the Onshore Fund and Offshore Fund invest substantially all of their assets in the Master Fund. The Adviser does, and expects that it may in the future also, serve as investment manager to other client accounts. Subject to the discretion of Perryridge to accept less, the minimum investment threshold for an investment in the Funds is $1,000,000. With respect to other client accounts, the Adviser determines the minimum investment amount on a case-by-case basis with each advisory client. The General Partner and/or Perryridge, have entered into side letters previously and may, without notice to or consent from existing or prospective investors, in the future enter into additional side letters or similar separate agreements with one or more investors in the Funds that alter the terms and conditions described in the Fund’s governing documents (including, without limitation, with respect to most favored nation provisions, the management fee rate, incentive allocation rate, capacity rights for certain classes of the Funds, transfers, withdrawal terms (including notice periods), notices of certain events, additional reporting and disclosure). |
