Item 5: Fees & Compensation

Compensation for Our Advisory Services

Portfolio Management:

The fee for portfolio management services is based on a percentage of assets we manage on a blended
tier basis. The following is our standard fee schedule.

Exact fees and services will be agreed in advance and outlined in the advisory agreement to be signed
by the client. Our firm bills on cash unless indicated otherwise in writing. Annualized fees are
typically billed on a pro-rata basis quarterly in arrears. Fees charged in arrears will be based on the
time weighted daily average market value of the assets under management during the period,
including the full market value of any margined assets and short positions. Fees are negotiable and
will be deducted from client account(s). Portfolio assets are valued at the market value, or fair market
value in the absence of market value. Adjustments will be made for deposits and withdrawals during
the quarter. In rare cases, PPW will agree to directly invoice. As part of this process, Clients
understand the following:

    a) Clients must provide our firm with written authorization permitting direct payment of
       advisory fees from their account(s) maintained by a custodian who is independent of our
       firm;
    b) Our firm sends quarterly statements to the client showing the fee amount, the value of the
       assets upon which the fee is based, and the specific manner in which the fee is calculated as
       well as disclosing that it is the client’s responsibility to verify the accuracy of fee calculation,
       and that the custodian does not determine its accuracy; and
    c) The account custodian sends a statement to the client, at least quarterly, showing all account
       disbursements, including advisory fees.

Fees charged for third-party manager services shall be in addition to our advisory fees. The third-
party money managers we recommend will not directly charge you a higher fee than they would have
charged without us introducing you to them. Third-party money managers establish and maintain
their own separate billing processes over which we have no control. In general, they will directly bill
you and describe how this works in their separate written disclosure documents. The total fees
charged by both parties shall not exceed 3.00% per annum based on a percentage of assets managed.

Propel has the right, unilaterally, to change the above fees and any fee-related procedures upon at
least thirty (30) days prior written notice to existing clients. However, Propel will not charge any fees
in excess of 2.00% of client assets managed by our firm.

Financial Planning & Consulting:

Our firm charges on an hourly or flat fee basis for financial planning and consulting services. The total
estimated fee, as well as the ultimate fee charged, is based on the scope and complexity of our
engagement with the client. The maximum hourly fee to be charged will typically not exceed $500.
Flat fees typically range from $1,000 to $40,000. The fee-paying arrangements will be determined on
a case-by-case basis and will be detailed in the signed consulting agreement. Payments for Financial
Planning and Consulting Services are accepted via automated clearing house transfer (ACH) or wire
transfers. Our firm may accept credit card payments for Financial Planning and Consulting Services.
However, our firm does not store any credit card information. Our firm will not require a retainer
exceeding $500 when services cannot be rendered within 6 months.

Other Types of Fees & Expenses

Clients will incur transaction fees for trades executed by their chosen custodian, based on a
percentage of the dollar amount of assets in the account(s). These transaction fees are separate from
our firm’s advisory fees and will be disclosed by the chosen custodian. Charles Schwab & Co., Inc.
(“Schwab”) does not charge transaction fees for U.S. listed equities and exchange traded funds, except
for a $5-per-account fee for trades which require manual support from Schwab’s trading desk or
which involve complex algorithms.

Clients may also pay holdings charges imposed by the chosen custodian for certain investments,
charges imposed directly by a mutual fund, index fund, or exchange traded fund, which shall be
disclosed in the fund’s prospectus (e.g., fund management fees and other fund expenses), fees on
alternative or private investments, distribution fees, surrender charges, variable annuity fees, IRA
and qualified retirement plan fees, mark-ups and mark-downs, spreads paid to market makers, fees
for trades executed away from custodian, wire transfer fees and other fees and taxes on brokerage
accounts and securities transactions. Our firm does not receive a portion of these fees.

Termination & Refunds

Either party may terminate the advisory agreement signed with our firm for Portfolio Management
services in writing at any time. Upon notice of termination pro-rata advisory fees for services
rendered to the point of termination will be charged. If advisory fees cannot be deducted, our firm
will send an invoice for due advisory fees to the client.

Financial Planning & Consulting clients may terminate their agreement at any time before the
delivery of a financial plan by providing written notice. For purposes of calculating refunds, all work

Item 7: Types of Clients & Account Requirements

Our firm has the following types of clients:
   • Individuals and High Net Worth Individuals;
   • Trusts, Estates or Charitable Organizations;
   • Pension and Profit Sharing Plans;
   • Corporations, Limited Liability Companies and/or Other Business Types

Our requirements for opening and maintaining accounts or otherwise engaging us:
   • Our firm requires a minimum aggregate account balance of $250,000 per client for our
       Portfolio Management service. Generally, this minimum account balance requirement is not
       negotiable and would be required throughout the course of the client’s relationship with our
       firm.
