Item 5 – Fees and Compensation

PSG Lending, LLC

The Manager shall be entitled to receive from the Company as compensation for its services provided in
the management of the Company an annual management fee payable quarterly, in advance, equal to two
percent (2.00%) calculated off of the PSG Funds’ Capitalization, with such amount being allocated to each
Member, pro rata based on such Member’s Percentage Interest. The Company shall pay the Management
Fee, quarterly, in advance, to the Manager to the extent that the Company has Current Cash Flow from
Investments. The parties acknowledge and agree that the partnership agreements of certain PSG Funds
require such PSG Funds to pay a similar management fee to the Manager, in its capacity as general partner
of such PSG Funds, which management fee is offset by Company’s payment of the Management Fee
under this Section. To the extent that the Current Cash Flow from Investments is insufficient to pay the
Management Fee, the Manager shall rely on such PSG Funds to pay to the Manager, in its capacity as
general partner of such PSG Funds, any and all amounts of any Management Fee Shortfall, and shall not
be entitled to require the Members to pay any such Management Fee Shortfall. The Manager reserves the
right to reduce or waive the Management Fee charged to any Member.

PSG CREDIT OPPORTUNITIES II, LLLP

The General Partner will receive an annual management fee payable quarterly in advance by the
Partnership, equal to two percent (2.0%) of the Partnership’s Capitalization (the “Management Fee”), with
such amount being allocated to the Partners, pro rata in accordance with their respective Commitments.
The Partnership’s “Capitalization” means the sum of the aggregate Commitments plus the maximum
amount that can be borrowed under the Line of Credit (whether or not then currently borrowed).

PSG CREDIT OPPORTUNITIES OFFSHORE, L.P.

The General Partner will receive an annual management fee payable quarterly in advance by the
Partnership, equal to two percent (2.0%) of the Partnership’s Capitalization (the “Management Fee”), with
such amount being allocated to the Partners, pro rata in accordance with their respective Commitments.

The Partnership’s “Capitalization” means the sum of the aggregate Commitments plus the maximum
amount that can be borrowed under the Line of Credit (whether or not then currently borrowed).

The General Partner will receive the Management Fee at the level of the Blocker, though the General
Partner may change such arrangement and receive the Management Fee in the future at the level of the
Master Fund or the Partnership. The General Partner may agree to share all or a portion of the Management
Fee with the Investment Manager. Notwithstanding anything set forth herein to the contrary, the General
Partner reserves the right to reduce or waive the Management Fee charged in respect of any Partner’s
Interest, including Partners admitted at or within thirty (30) days of the Initial Closing or having a
significant size of Commitment.

For the avoidance of doubt, no matter which entity funds the Management Fee under the prior paragraph,
the Management Fee will always be deemed an obligation of the Partnership to the General Partner.

PSG CREDIT OPPS PP FUND II PARALLEL, LLLP

The General Partner will receive an annual management fee payable quarterly in advance by the
Partnership, equal to one percent (1.00%) calculated off of the Partnership’s funded commitments (the
“Management Fee”), with such amount being allocated to each Partner, pro rata. The Partnership shall pay
the Management Fee, quarterly, in advance, to the General Partner to the extent that the Partnership has
Available Cash; alternatively, to the extent Available Cash is insufficient, the General Partner may, at its
option, call capital to pay such Management Fee or invoice each Limited Partner for its share. To the
extent the General Partner is paid, in any quarterly period, a management fee by an Affiliate of the General
Partner in which the Partnership has a direct or indirect ownership interest, the Management Fee payable
by the Partnership for such period shall be reduced by the amount, as determined by the General Partner
in good faith, paid to it with respect to the Partnership’s direct or indirect investment in such Affiliate.
The General Partner reserves the right to reduce or waive the Management Fee charged to any Partner,
including Partners having a significant size of Commitment.

PSG CREDIT OPPS CO-INVESTMENT, LLC

The Operating Agreement of PSG Credit Opps Co-Investment, LLC does not provide for a fixed
percentage management fee. Pursuant to Section 3.7 of its Operating Agreement, the Managing Member
is reimbursed for all reasonable expenses incurred on behalf of the Company and is entitled to reasonable
compensation for time spent managing the Company, in an amount to be determined from time to time by
the Managing Member. The economic arrangements among the members are otherwise governed by the
Company’s distribution provisions described in Item 6.
