Item 5 – Fees and Compensation
RSAM fees for investment advisory services are based on a percentage of assets under management and
carried interest. The management fee is equal to 2% per year of the aggregate committed capital of the
Limited Partners. Thereafter, and in certain other cases, 2% per year of the aggregate committed capital
of the Limited Partners, minus the cost basis of realized investments (except recycled amounts), minus
the cost basis of completely written‐off investments. The carried interest amount with respect to any
Limited Partner and as of any time shall be 20% of such Limited Partner’s initially apportioned profit
amount.
The market value of assets under management is determined based on the securities pricing information
provided by the Custodian and the most recent and available pricing information received by RSAM from
third party managers and/or fund(s). RSAM reserves the right, in its sole and absolute discretion, to adjust
the market value with respect to prior billing periods (and accordingly, its fees) if RSAM receives adjusted
pricing information from third party sources and determines such adjustment to be material.
If requested, RSAM may negotiate a fixed fee schedule on a per client basis. Clients should be aware of
their responsibility to verify the accuracy of the fee calculation submitted to the custodian by RSAM, as

the custodian will not determine whether the fee has been properly calculated.

Item 7 – Types of Clients
RSAM primarily provides investment advisory services to private funds.
The minimum account size necessary to invest in our portfolio will vary by the type of Investor. For
instance, Investors in the Robertson Stephens Venture Opportunities LP must make a minimum initial
investment of at least $1 million and any additional investments must be in increments of $100,000. From
time to time initial investments less than $1 million and additional investments less than $100,000 may
be accepted, and these thresholds may be increased or decreased. The General Partner has the discretion
to negotiate a lower the minimum investment size.
